NY ta BNI Types of Material Information or Facts Submission of reports / information regarding to the implementation of additional capital by the Company to PT BNI Multifinance (“BNI MF”) which is an affiliated party of the Company. Uraian Informasi atau Fakta Material Description of Material Information or Facts Tanggal 12 Desember 2023, Perseroan telah melaksanakan penambahan modal sebesar Rp400.000.000.000,- (empat ratus miliar rupiah) kepada BNI MF, yang dimaksudkan untuk memperkuat permodalan perusahaan dan mendukung transformasi yang tengah dilakukan oleh BNI MF untuk berfokus pada segmen konsumer. Setelah pelaksanaan penambahan modal dimaksud, kepemilikan saham Perseroan di BNI MF meningkat menjadi sebesar 99,9983”o dari sebelumnya sebesar 99,9974Y. Di bawah ini dapat kami sampaikan komposisi pemegang saham BNI MF setelah pelaksanaan penambahan modal: Pemegang Saham si Agan (“2) Perseroan 1.098.413.985.350 | 99,9983Y6 Koperasi Karyawan BNI 18.151.550 0,00174, Jumlah 1.098.432.136.900 | 100,000”4 Transaksi ini merupakan transaksi afiliasi yang cukup dilaporkan. Adapun hubungan antara Perseroan dengan BNI MF adalah Perseroan memiliki saham langsung atas BNI MF sebesar 99,997 o (sembilan puluh sembilan koma sembilan sembilan tujuh persen) sehingga Perseroan merupakan pemegang saham utama BNI MF dan mengendalikan BNI MF secara langsung. On December 12, 2023, the Company has implemented an additional capital of IDR 400,000,000,000 (four hundred billion rupiah) to BNI MF, which is intended to Strengthen the company's capital and support the transformation that is being carried out by BNI MF to focus on the segment consumer. After the implementation of the additional capital, the Company Share ownership in BNI MF increased to 99.9983Y5 from the previous 99.997446. AC BNI Company has direct shares in BNI MF of 99.99796 (ninety nine point nine nine seven percent) so that the Company is the main Shareholder of BNI MF and controls BNI MF directly. 4 | Dampak terhadap Kegiatan Operasional, Hukum, Kondisi Keuangan, dan Kelangsungan Usaha Impact on Operational Activities, Legal, Financial Condition, and Business Continuity Penambahan modal PT BNI Multifinance akan memberikan dampak positif terhadap kinerja konsolidasi yang diperoleh dari peningkatan bisnis PT BNI Multifinance dan melengkapi layanan dari BNI Group. The additional capital for PT BNI Multifinance will have a positive impact on consolidated performance resulting from increasing PT BNI Multifinance's business and completing services from the BNI Group. 5. | Keterangan lain-lain Other Information Rencana penyertan modal tersebut telah memperoleh persetujuan dari Otoritas Jasa Keuangan berdasarkan Surat nomor SR- 61/PB.21/2023 pada tanggal 9 Agustus 2023 dan telah telah dianggarkan dalam Rencana Bisnis Bank BNI 2023-2025.
