perusahaan baru yang diberi nama PT Maju Bae Makmur (PT
MBM) yang dinyatakan dalam Akta Pendirian Perseroan
Terbatas No. 12 tertanggal 30 Maret 2026 yang dibuat
dihadapan Notaris Ida Ayu Putu Sri Mahadewi , S.H., M.Kn.,
Notaris di Kabupaten Gianyar dan telah mendapatkan
pengesahan pendirian dari Menteri Hukum dan Hak Asasi
Manusia Republik Indonesia melalui Surat Keputusan No.
AHU-0025012.AH.01.01.TAHUN 2026 tertanggal 2 April 2026
PT MBM didirikan sebagai perusahaan yang bergerak di
bidang perdagangan eceran mobil bekas

operasional, hukum, kondisi keuangan atau kelangsungan
usaha Perseroan.

Facts (the Company), wish to disclose the following material
information or facts:
1. Date of Event: April 2, 2026
2. Type of Information or Material Facts: Establishment of New
Subsidiary (from JAYA's subsidiary)
3. Description of Information or Material Facts: Jaya's
subsidiary (PT Jaya Bae Nusantara) has established a new
subsidiary named PT Maju Bae Makmur (PT MBM), as stated
in the Limited Liability Company Deed of Establishment No.
12, dated March 30, 2026, drawn up before Notary Ida Ayu
Putu Sri Mahadewi, S.H., M.Kn., a Notary in Gianyar Regency.
The establishment has been approved by the Minister of Law
and Human Rights of the Republic of Indonesia through
Decree No. AHU-0025012.AH.01.01.TAHUN 2026 dated April
2, 2026
PT MBM was established as a company engaged in the retail
trade of used cars.
The shareholder composition of PT MBM is as follows:
