Bahwa pada tanggal 07 Desember 2023, telah dilakukan penandatanganan
Perihal
Perjanjian Awal antara PT Akbar Indo Makmur Stimec Tbk (Perseroan) dengan
Para Pemegang Saham PT Marawa Dwitunggal Abadi (MDA). Dalam
Perjanjian Awal tersebut, Perseroan dan Para Pemegang Saham MDA sepakat
bahwa dikemudian hari, Perseroan bermaksud akan melakukan investasi pada
MDA melalui penyertaan kepemilikan saham oleh Perseroan pada MDA
(Rencana Transaksi), dimana atas Rencana Transaksi tersebut, masih akan
dinegosiasikan lebih lanjut antara para pihak, yang selanjutnya akan
ditindaklanjuti melalui penandatanganan suatu perjanjian yang mengatur lebih
lanjut mekanisme dan kesepakatan atas Rencana Transaksi tersebut.
Dengan ini kami untuk dan atas nama perusahaan menyampaikan Laporan Informasi atau Fakta Material sebagai
berikut:

Jenis Informasi atau Fakta Material Bahwa pada tanggal 07 Desember 2023, telah dilakukan
penandatanganan Perjanjian Awal antara PT Akbar Indo
Makmur Stimec Tbk (Perseroan) dengan Para Pemegang
Saham PT Marawa Dwitunggal Abadi (MDA). Dalam
Perjanjian Awal tersebut, Perseroan dan Para Pemegang
Saham MDA sepakat bahwa dikemudian hari, Perseroan
bermaksud akan melakukan investasi pada MDA melalui
penyertaan kepemilikan saham oleh Perseroan pada MDA
(Rencana Transaksi), dimana atas Rencana Transaksi
tersebut, masih akan dinegosiasikan lebih lanjut antara para
pihak, yang selanjutnya akan ditindaklanjuti melalui
penandatanganan suatu perjanjian yang mengatur lebih lanjut
mekanisme dan kesepakatan atas Rencana Transaksi
tersebut.

Uraian Informasi atau Fakta Material Mengacu pada:
a. POJK No. 31/POJK.04/2015, tentang Keterbukaan
atas Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik, tertanggal 10 Desember 2015.
b. POJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha, tertanggal 20 April
2020 (POJK 17/2020).
c. POJK No. 42/POJK.04/2020 tentang Transaksi
Afiliasi dan Transaksi Benturan Kepentingan, tertanggal 2 Juli
2020 (POJK 42/2020).
Hubungan antara Pihak-pihak yang Bertransaksi
Bahwa Perseroan dengan Para Pemegang Saham MDA
maupun MDA tidak memiliki hubungan Afiliasi.
Nilai Transaksi:
Bahwa nilai transaksi atas Perjanjian Awal tersebut belum
ditentukan.
Dampak kejadian, informasi atau fakta Penandatanganan Perjanjian Awal ini tidak berdampak
material tersebut terhadap kegiatan negative terhadap kegiatan usaha, kondisi keuangan
operasional, hukum, kondisi keuangan, Perseroan. Melainkan diharapkan akan meningkatkan
atau kelangsungan usaha Emiten atau pendapatan Perseroan di masa depan apabila Rencana
Perusahaan Publik Transaksi terlaksana.
Informasi Lain
Bahwa selain daripada informasi yang telah kami ungkapkan di atas, saat ini tidak terdapat kejadian, Informasi, atau
Fakta Material lain yang tidak kami ungkapkan selain informasi tersebut di atas.

Subject That on December 7, 2023, a Preliminary Agreement has been signed
between PT Akbar Indo Makmur Stimec Tbk (the "Company") and the
Shareholders of PT Marawa Dwitunggal Abadi ("MDA"). In the Initial
Agreement, the Company and MDA's Shareholders agreed that in the future,
the Company intends to invest in MDA through the participation of the
Company's share ownership in MDA (the "Proposed Transaction"), which for
the Proposed Transaction, will still be further negotiated between the parties,
which will then be followed up by the signing of an agreement that further
regulates the mechanism and agreement on The Transaction Plan.
