Uraian Informasi atau Fakta Material PT Satria Antaran Prima Tbk (Perseroan) telah
menandatangani Perjanjian Kerja Sama Jasa Pengiriman
Barang dengan PT Semangat Logistik Andalan (SLA). Adapun
pihak-pihak yang terlibat:
1. Perseroan sebagai pemberi layanan jasa
2. SLA sebagai penerima jasa
Penandatanganan Perjanjian Kerja Sama tersebut meliputi:
1. Perseroan menyediakan jasa melalui kurir untuk
melaksanakan pekerjaan yang diinstruksikan oleh SLA dan
2. Perseroan menyediakan sistem yang terhubung
secara host to host dengan sistem yang dimiliki SLA untuk
menyediakan sistem pelacakan pengiriman barang secara real
time yang akan menginformasikan mengenai status proses
pengiriman Barang dari waktu ke waktu;
Perjanjian ini berlaku selama 1 (satu) tahun dan otomatis
diperpanjang untuk 1 (satu) tahun berikutnya serta seterusnya,
kecuali apabila diakhiri lebih awal berdasarkan ketentuan
Perjanjian ini.
Nilai kontrak dalam perjanjian kerja sama ini tidak ditentukan.
Alasan perolehan kontrak:
Dengan perolehan kontrak ini Perseroan dapat menjalin
hubungan kerjasama dengan klien yang terhubung dengan
marketplace dan meningkatkan kapasitas pengiriman yang
signifikan bagi Perseroan yang akan memberikan tambahan
pendapatan dan mendorong pertumbuhan usaha Perseroan.
Perjanjian Kerja Sama/transaksi bukan merupakan transaksi
afiliasi dan benturan kepentingan sebagaimana dimaksud
dalam Peraturan Otoritas Jasa Keuangan mengenai transaksi
afiliasi dan benturan kepentingan.
Dampak kejadian, informasi atau fakta a. Penandatanganan Perjanjian Kerja Sama jasa
material tersebut terhadap kegiatan pengiriman barang ini dilaksanakan sesuai dengan ketentuan
operasional, hukum, kondisi keuangan, dan peraturan perundang-undangan yang berlaku;
atau kelangsungan usaha Emiten atau
Perusahaan Publik b. Dampak material dari kejadian, informasi atau fakta
material terhadap kondisi keuangan atau kelangsungan usaha
perseroran adalah menambah pendapatan Perseroan secara
signifikan dan memaksimalkan kapasitas operasional serta
memberikan kontribusi pertumbuhan usaha Perseroan.
c. Dampak material dari kejadian, informasi atau fakta
material terhadap kegiatan operasional Perseroan adalah
memberikan jumlah/volume pengiriman secara
signifikansiginfikan bagi Perseroan yang akan menjaga
keberlangsungan/sustainability usaha Perseroan.
d. Tidak ada dampak material dari kejadian, informasi
atau fakta material terhadap kondisi hukum Perseroran.

Description of Material Information or PT Satria Antaran Prima Tbk ("the Company") has signed a
Facts Cooperation Agreement for Delivery Services with PT
Semangat Logistik Andalan ("SLA").
The parties involved are:
1. The Company as the service provider
2. SLA as the service recipient
The signing of this Cooperation Agreement includes:
1. The Company provides services through couriers to
perform tasks instructed by SLA; and
2. The Company provides a system connected host to
host with SLA's system to offer a real-time delivery tracking
system that will inform about the status of the delivery process
over time.
This agreement is valid for 1 (one) year and automatically
extended for the next 1 (one) year and so on, unless
terminated earlier based on the provisions of this Agreement.
The scope of work at the beginning of this Agreement is that
the Company, through couriers, will deliver goods according to
the instructions provided by SLA as stated in the system
documentation.
The contract value in this cooperation agreement is not
specified.
Reasons for contract acquisition: With the acquisition of this
contract, the Company can establish a cooperative relationship
with clients connected to the marketplace and significantly
enhance the delivery capacity, providing additional revenue
and driving the Company's business growth.
The Cooperation Agreement/transaction is not an affiliated
transaction and conflict of interest as referred to in the
Financial Services Authority Regulation regarding affiliated
transactions and conflicts of interest
