Uraian Informasi atau Fakta Material Sehubungan dengan telah diselenggarakannya Rapat Umum
Pemegang Obligasi (RUPO) Obligasi II Adhi Commuter
Properti Tahun 2022 Seri B, serta sebagai tindak lanjut atas
keputusan yang telah diambil dalam RUPO tersebut, bersama
ini PT Adhi Commuter Properti Tbk (Perseroan)
menyampaikan kembali informasi mengenai hasil keputusan
RUPO dimaksud sebagaimana terlampir.
Dampak kejadian, informasi atau fakta 1. Dengan disetujuinya waiver atas kewajiban pemenuhan dan
material tersebut terhadap kegiatan pemeliharaan rasio keuangan,
operasional, hukum, kondisi keuangan, Perseroan memperoleh pengesampingan atas kewajiban
atau kelangsungan usaha Emiten atau pemenuhan rasio keuangan
Perusahaan Publik sebagaimana ditetapkan dalam Perjanjian Perwaliamanatan
Obligasi II Adhi Commuter Properti
Tahun 2022 untuk periode yang telah disepakati dalam RUPO.
2. Dengan disetujuinya penundaan pembayaran kupon
(bunga), Perseroan memperoleh
penundaan kewajiban pembayaran kupon (bunga) untuk
periode Mei 2026 sampai dengan
Februari 2027, sehingga kupon (bunga) yang ditunda tersebut
akan dibayarkan bersamaan
dengan pembayaran pokok Obligasi pada saat jatuh tempo
pada bulan Mei 2027.
3. Sehubungan dengan penundaan pembayaran kupon
(bunga) tersebut, Perseroan memiliki
kewajiban untuk membayarkan consent fee sebesar 0,15%
(nol koma lima belas persen) dari nilai
pokok Obligasi sesuai dengan ketentuan yang telah disetujui
dalam RUPO.

Bonds II
Description of Material Information or In connection with the General Meeting of Bondholders
Facts (RUPO) for Adhi Commuter Propertis 2022 Bond II, Series B,
and as a follow-up to the decisions made at said RUPO, PT
Adhi Commuter Properti Tbk (the Company) hereby re-issues
the information regarding the results of the RUPO decisions,
as attached.
Impact of event, material information or 1. With the approval of the waiver of the obligation to meet and
facts towards Issuers or Public maintain financial ratios, the Company has obtained an
Company’s operational activities, legal, exemption from the obligation to meet financial ratios as
financial condition, or going concern stipulated in the Adhi Commuter Properti Bond II Trust
Agreement of 2022 for the period agreed upon in the RUPO.
2. With the approval of the deferral of coupon (interest)
payments, the Company has obtained a deferral of its
obligation to pay coupons (interest) for the period from May
2026 through February 2027, such that the deferred coupons
(interest) will be paid concurrently with the principal payment of
the Bonds upon maturity in May 2027.
3. In connection with this deferral of coupon (interest)
payments, the Company is obligated to pay a consent fee of
0.15% (zero point fifteen percent) of the principal amount of
the Bonds in accordance with the provisions agreed upon in
the RUPO.
