C NPH NUSANTARA PELABUHAN HANDAL 3. | Uraian informasi atau fakta material/ Description of material information or facts Pada tanggal 20 November 2023, Perseroan telah menerima surat dari: 1. PT Episenta Utama Investasi (“EUI”), pemilik 74,0676 saham dalam Perseroan yang merupakan pemegang saham pengendali Perseroan, dan 2. China Merchants Port Holdings Company Limited (“CMP”), suatu perusahaan yang didirikan di Hong Kong dengan tanggung jawab terbatas berdasarkan Companies Ordinance dengan Kode Saham Nomor 00144, yang menyampaikan informasi bahwa EUI dan CMP telah menandatangani Perjanjian Pembelian Saham (“Perjanjian”) pada tanggal 20 November 2023 sehubungan dengan penjualan 5196 kepemilikan saham EUI di Perseroan kepada CMP (“Penjualan Saham”). Transaksi penutupan atas Penjualan Saham tunduk kepada pemenuhan syarat yang diatur dalam Perjanjian, termasuk namun tidak terbatas pada persetujuan yang diperlukan oleh pihak CMP dan ketentuan peraturan perundang- undangan. On 20 November 2023, we received letters from: 1. PT Episenta Utama Investasi (“EUI”), holder of 74.0696 shares in the Company, which is the controlling shareholder of the Company: and 2. China Merchants Port Holdings Company Limited (“CMP”), a company incorporated in Hong Kong with limited liability under the Companies Ordinance with Stock Code Number 00144, stating that EUI and CMP have signed the Share Purchase Agreement (“Agreement”) dated 20 November 2023 in relation to the sale of 5196 share ownership of EUI in the Company to CMP (“Sale of Shares”). The closing of Sale of Shares is subject to the fulfillment of the conditions stipulated in the Agreement, including but not limited to approval needed by CMP and the provisions of statutory regulations. 4. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, — hukum, Dampak hukum dari transaksi Penjualan Saham di atas adalah terjadinya perubahan pengendali Perseroan menjadi CMP.
