                                             wajib mendapatkan persetujuan rapat umum pemegang
                                             saham Perseroan dan tidak mengakibatkan terganggunya
                                             kelangsungan usaha Perseroan.

                                             Selanjutnya, Rencana Transaksi bukan merupakan benturan
                                             kepentingan sebagiamana didefinisikan dan diatur dalam
                                             POJK 42/2020 disebabkan tidak terdapat perbedaan antara
                                             kepentingan ekonomis Perseroan dengan kepentingan

 Type of Material Information or Facts

 Description of Material Information or       PT Multisarana Intan Eduka Tbk (Company) has entered into a
 Facts                                        Conditional Share Sale and Purchase Agreement on
                                              November 13, 2023 (CSPA) with the shareholders of PT Surya
                                              Kebenaran Nusantara (SKN) at present (namely Imanuel
                                              Herman Prawiromaruto, Suzanna Rosa Prawiromaruto, and
                                              Swandriyani Hudianto, collectively referred to as the Sellers).
                                              Pursuant to this agreement, the Company will acquire 3,499
                                              (three thousand four hundred ninety-nine) shares in SKN,
                                              representing 99.97% (ninety-nine point nine seven percent) of
                                              the issued and paid-up capital of SKN (Transaction Plan).

                                              SKN, a real estate company specializing in educational
                                              property infrastructure, operates in premium and commercial
                                              locations in the North Kuta District, Badung Regency, Bali
                                              Province. The company's property spans 1,715 square meters
                                              and is currently leased to the international school, Morphoo
                                              School, under a 14-year agreement. Presently, Morphoo
                                              School accommodates 16 classrooms with a total of 250 active
                                              students. The school is well-equipped with facilities supporting
                                              its international curriculum, including a swimming pool, multi-
                                              purpose court, mini soccer field, monkey bar, computer
                                              laboratory, indoor gym, clinic, mini cafeteria, wall climbing
                                              facilities, and a library.

                                              Established two years ago, Morphoo School has made a
                                              positive contribution to fulfilling the educational needs of local
                                              and expatriate children in Bali. The school's commitment to
                                              providing adequate facilities and a supportive environment has
                                              played a significant role in the development and enhancement
                                              of education in Bali.

                                              Furthermore, the Transaction Plan is categorized as an affiliate
                                              transaction in accordance with POJK 42/POJK.04/2020
                                              concerning Affiliate Transactions and Conflicts of Interest
                                              (POJK 42/2020). Due to this, the Company will fulfill its
                                              obligations as stated in POJK 42/2020 in connection with
                                              affiliate transactions.

                                              Then, the Transaction Plan does not require approval from the
                                              Company's independent general meeting of shareholders,
                                              because the transaction value does not exceed the material
                                              threshold that requires approval from the Company's general
                                              meeting of shareholders and does not result in disruption of
                                              the Company's business continuity.

                                              Furthermore, the Transaction Plan does not constitute a
                                              conflict of interest as defined and regulated in POJK 42/2020
                                              because there is no difference between the Company's
                                              economic interests and the Seller's economic interests which
                                              could be detrimental to the Company.
