 Sebagai anak perusahaan dari PT Merdeka Copper Gold Tbk (MCG), MGR menyelaraskan langkahnya
 dengan strategi perubahan iklim induk Perusahaan, termasuk komitmen net zero dan peta jalan
 dekarbonisasi MCG. Sejalan dengan komitmen tersebut, MGR mendukung target pencapaian net zero untuk

Langkah-langkah yang sudah dilakukan dan penurunan emisi yang telah dicapai dibandingkan tahun
sebelumnya.

Penjelasan:


Sebagai anak perusahaan dari PT Merdeka Copper Gold Tbk (MCG), MGR menyelaraskan langkahnya dengan
strategi perubahan iklim induk Perusahaan, termasuk komitmen net zero dan peta jalan dekarbonisasi MCG.
Sejalan dengan komitmen tersebut, MGR mendukung target pencapaian net zero untuk emisi Cakupan 1 dan

 Kebijakan Anti Diskriminasi dan Kesetaraan Gender di MGR mencerminkan komitmen perusahaan terhadap
 proses perekrutan, penempatan, promosi, kompensasi, dan retensi karyawan yang didasarkan pada
 kualifikasi, termasuk pengalaman, prestasi, dan kriteria lainnya, tanpa adanya diskriminasi berdasarkan
 gender dan identitas. Meskipun belum memiliki perwakilan perempuan di tingkat direksi, saat ini terdapat
 seorang perempuan yang duduk di komite Nominasi dan Remunerasi yaitu Lilis Halim sebagai bagian dari
 badan tata kelola tinggi MGR. Untuk meningkatkan kesadaran karyawan, MGR melakukan sosialisasi
 Kebijakan Anti Diskriminasi dan Kesetaraan Gender melalui email secara berkala kepada semua karyawan
 dan pelatihan Kode Etik. Sepanjang Tahun 2025, tidak terdapat laporan pengaduan terkait dengan tindakan
 diskriminasi yang terjadi di MGR.

 Komitmen kami terhadap penghormatan hak asasi manusia mencakup seluruh wilayah operasional dan
 rantai pasokan kami. Hal ini tertuang dalam Kebijakan Hak Asasi Manusia MGR, yang mencerminkan
 komitmen kami dalam melindungi hak individu, termasuk masyarakat di sekitar wilayah operasional, pekerja,
 serta pihak lain yang terdampak oleh kegiatan perusahaan.

 Kebijakan Anti Pekerja Anak di MGR menegaskan komitmen perusahaan untuk mencegah pekerja anak di
 seluruh entitas anaknya. MGR secara tegas mematuhi Undang-Undang Ketenagakerjaan No. 13 Tahun
 2003 Pasal 68 terkait usia minimum calon karyawan dan penghapusan pekerja anak, yang menjadi dasar
 dalam proses rekrutmen karyawan. Departemen Sumber Daya Manusia MGR dan entitas anaknya
 melaksanakan prosedur verifikasi dokumen persyaratan calon pekerja, termasuk Surat Keterangan Catatan
 Kepolisian (SKCK) dan identitas pekerja berdasarkan hasil MCU, untuk memastikan bahwa usia pekerja
 sesuai ketentuan. Berdasarkan prosedur tersebut, mekanisme pengaduan dan proses pemantauan, tidak
 ditemukan adanya karyawan yang berusia di bawah 18 tahun di MGR, entitas anak dan kontraktor.

 MGR telah memiliki Kebijakan K3 yang menetapkan komitmen dan tanggung jawab terhadap kepatuhan
 pada peraturan mencapai tujuan kami: "Everyone Safe, Always". Komitmen K3 di MGR melibatkan upaya
 penyediaan lingkungan kerja yang aman dan sehat untuk mencegah kecelakaan dan penyakit. Perusahaan
 berkomitmen untuk mematuhi regulasi pemerintah dan standar industri, serta mengembangkan rencana
 berdasarkan penilaian risiko dan tinjauan sistem manajemen. MGR juga menerapkan standar manajemen
 risiko dan peluang untuk mengevaluasi dan mengatasi risiko secara efektif. Sistem manajemen yang
 komprehensif mencakup seluruh aktivitas operasional, mulai dari pengadaan hingga tanggap darurat,
 dengan fokus pada produktivitas yang aman dan efisien.

 Keberlanjutan perusahaan pertambangan sangat bergantung pada hubungan yang harmonis dengan
 masyarakat sekitar. Dukungan dan partisipasi masyarakat tidak hanya meminimalkan risiko sosial, tetapi
 juga meningkatkan penerimaan operasi dan menciptakan manfaat bersama. Oleh karena itu, MGR
 berkomitmen untuk melibatkan masyarakat dalam setiap tahapan operasional perusahaan, sesuai dengan
 regulasi pemerintah yang berlaku serta standar internasional. Kebijakan Masyarakat, Sistem Manajemen

 Sejalan dengan Undang-Undang Perseroan Terbatas, MGR menerapkan sistem dewan dua tingkat atau
 two-tier board system, yang terdiri atas Dewan Komisaris dan Direksi. Dengan demikian Komisaris Utama
 tidak boleh merangkap sebagai Direktur Utama. Dewan Komisaris bertanggung jawab secara kolektif dalam
 mengawasi kinerja Direksi, memberikan arahan strategis, serta memastikan bahwa perusahaan beroperasi
 sesuai dengan prinsip-prinsip tata kelola yang baik guna mendukung pencapaian visi dan misi perusahaan.

 Evaluasi kinerja Dewan Komisaris dan Direksi dilakukan secara berkala melalui mekanisme penelaahan

 Untuk secara efektif mengawasi dampak terkait keberlanjutan, MGR memastikan bahwa anggota Badan
 Tata Kelola Tertinggi terus meningkatkan pemahaman mereka terhadap isu-isu ekonomi, lingkungan, dan
 sosial yang relevan. Dengan menyadari meningkatnya kompleksitas operasional bisnis serta pentingnya
 pembangunan berkelanjutan, Perusahaan menugaskan anggota Komite Keberlanjutan dari Departemen
 ESG & Climate Change untuk secara aktif mengikuti program pengembangan kapasitas yang berfokus pada
 topik ESG, termasuk pelaporan keberlanjutan, perubahan iklim, dan hak asasi manusia. Pada tahun 2025,
 anggota Komite Komite Keberlanjutan telah mengikuti berbagai pelatihan tentang ESG, termasuk pelatihan
 Manajer Energi oleh Konservasi Energi Solusi Indonesia, perhitungan cakupan 3 Gas Rumah Kaca (GRK)
 oleh Daun+, pelatihan Prinsip-Prinsip Sukarela mengenai Keamanan dan Hak Asasi Manusia (VPSHR) oleh
 Rumah Mediasi Indonesia, dan pelatihan Penilaian Daur Hidup.

Steps that have been taken and emission reductions that have been achieved compared to the previous year


MGR has signed a Renewable Energy Certificates (REC)
Sale and Purchase Agreement with PT Management Energy
Indonesia, a subsidiary of PT Perusahaan Listrik Negara
(PLN), on October 1, 2025. With the signing of the REC Sale
and Purchase Agreement, effective as of January 1, 2026, the
electricity supply used in Pani will originate from clean energy
sourced from the Bakaru Power Plant provided by PLN. In
addition, MGR has installed solar panels to provide electricity
for lighting and supporting equipment within the mining area.
These solar-powered systems supply energy for road lighting,
lighting towers, geotechnical monitoring equipment, and the
Automatic Weather Station (AWS).
2. Energy Efficiency
MGR implements various energy efficiency initiatives through
the adoption of a digital fuel management system, the use of
more efficient equipment, and operational controls to reduce
fuel consumption.
3. Transition to Renewable Fuels
MGR supports the transition toward renewable energy by
adopting the use of B40 fuels, which consist of 40% palm
oil-based biodiesel blended with diesel fuel in its operations.

  In line with the Limited Liability Company Law, MGR implements a two-tier board system comprising the
  Board of Commissioners and the Board of Directors. Accordingly the President Commissioner may not
  concurrently serve as President Director. The Board of Commissioners collectively oversees the
  performance of the Board of Directors provides strategic direction and ensures that the Company operates
  in accordance with good governance principles to support the achievement of its vision and mission. The
  Board of Directors is responsible for the execution of the Company operations supported by the Corporate
  Secretary and various committees.

  The performance evaluation of the Board of Commissioners and Board of Directors is conducted periodically
  through a review mechanism by the Nomination and Remuneration Committee. The Committee was
  established in June 2025 therefore the evaluation function during the reporting year remained in the early
  stage of implementation and covered the period following the Committee establishment. In practice the
  Nomination and Remuneration Committee reviews the collective performance of the Board of
  Commissioners and Board of Directors by considering corporate performance the effectiveness of
  supervisory and management functions and the strategic contributions of each governing body. The review

 results are formulated as recommendations to the Board of Commissioners.

 To effectively oversee sustainability-related impacts, MGR ensures that members of the Highest
 Governance Body continuously enhance their understanding of relevant economic, environmental, and
 social issues. Recognizing the increasing complexity of business operations and the importance of
 sustainable development, the Company assigns members of the Sustainability Committee from the ESG
 and Climate Change Department to actively participate in capacity-building programs focused on ESG
 topics, including sustainability reporting, climate change, and human rights. In 2025, members of the
 Sustainability Committee participated in various ESG-related trainings, including Energy Manager training by
 Konservasi Energi Solusi Indonesia, Scope 3 greenhouse gas calculation training by Daun, Voluntary
 Principles on Security and Human Rights training by Rumah Mediasi Indonesia and Life Cycle Assessment
 training.

 Directors is determined by GMS resolution in accordance with the Company Articles of Association and

 Conducted socialization of the Anti-Corruption, Anti Bribery, and Anti-Money Laundering Policies to the

 accordance with Company policies. This commitment is clearly stated in the Code of Conduct, Anti-
 Corruption Policy, and Anti Bribery Policy.
