Planned affiliate transaction is in
connection with the Signing of the
Conditional Share Sale and Purchase
Agreement on November I3 2023
("CSPA") by the Company and the
current shareholders of PT Surya
Kebenaran Nusantara ("SKN') (namely
Imanuel Herman Prawiromaruto,
Suzanna Rosa Prawiromaruto and
Swandriyani Hudianto, which are
collectively referred to as the “Seller”) in
connection with the Companys plan to
purchase shares in SKN from the Seller.

Rungkut, Kota SBY, Jawa Timur 60298 (PT Multisarana Intan Eduka Tok SKN, Suzanna Rosa Prawiromaruto menjabat sebagai Komisaris Utama Perseroan dan Komisaris SKN, dan Swandriyani Hudianto menjabat sebagai Komisaris Utama SKN, sehingga rencana transaksi yang tercantum dalam PPJB dikategorikan sebagai transaksi afiliasi. The Seller collectively are currently the controlling — shareholders of the Company, Imanuel Herman Prawiromaruto serves as President Director of the Company and SKN, Suzanna Rosa Prawiromaruto serves as President Commissioner of the Companyand Commissioner of SKN, and Swandriyani Hudianto serves as President Commissioner of SKN, so that the transaction plan in the CSPA are categorized as affiliate transactions. 3.| Uraian Informasi atau Fakta | Berdasarkan PPJB, Perseroan akan membeli Material / Description oflsaham milik Penjual, yang merupakan material information or fact | afiliasinya, sejumlah 3.499 (tiga ribu empat ratus sembilan puluh sembilan) saham pada SKN (“Saham Yang Dijual”), yang merupakan 99,974 (sembilan puluh sembilan koma sembilan tujuh persen) modal ditempatkan dan disetor pada SKN (“Rencana Transaksi”). Dengan selesainya Rencana Transaksi tersebut (tergantung pada pemenuhan atas seluruh (atau dikesampingkan oleh Perseroan) kondisi pendahuluan sebagaimana tercantum dalam PPJB), akan menyebabkan perubahan pengendalian di dalam SKN dimana Perseroan akan menjadi pemegang saham pengendali SKN pada Tanggal Penyelesaian (sebagaimana didefinisikan di bawah). 3 O (t62) 31 870 9595 XM corporate.secretaryamsie.co.id (3) www.msie.co.id

Based on the CSPA, the Company will
purchase shares owned to the Seller,
which is its affiliate, in the amount of
3499 (three thousand four hundred and
ninety nine) shares in SKN ("Sale
Shares"), which represents 999746
(ninety nine point nine seven percent)
issued and paid-up capital in SKN
(“Transaction Plan”). The completion of
the Transaction Plan (subject to the
fulfillment of all (or waived by the
Company) conditions precedent as
Stated in the CSPA), will result in a
change of control in SKN where the
Company will become the controlling
shareholder of SKN on the Completion
Date (as defined below).
Penyelesaian Rencana Transaksi akan
tergantung pada pemenuhan atas
seluruh (atau dikesampingkan oleh
Perseroan) kondisi prasyarat oleh
Penjual: yang paling lambat wajib
dipenuhi 60 (enam puluh) hari kalender
sejak tanggal penandatanganan PPJB
(“Tanggal Penyelesaian”).
Completion of the Transaction Plan will
depend on the fulfillment of 'all (or
waived by the Company) conditions
precedent by the Seller which must be
fulfilled no later than 60 (sixty) calendar
days from the date of signing the CSPA
(“Completion Date").

sebesar Rp2.250.000.000 (dua miliar dua
ratus lima puluh juta Rupiah) (“Harga
Pembelian”), yang akan dibayarkan pada
Tanggal Penyelesaian.
The purchase price for the Sale Shares
that must be paid by the Company to the
Seller is IDR 2250,000,000 (two billion
two hundred and fifty million Rupiah)
(“Purchase Price”), which will be paid on
the Completion Date.

Tidak terdapat dampak negatif atas
Rencana Transaksi terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Perseroan.
There is no negative impact of the
Transaction Plan on the Companys
operational activities, legal, financial
condition or business continuity.
Selanjutnya, Rencana Transaksi tersebut
dikategorikan sebagai transaksi afiliasi
sesuai dengan POJK 42/POJK.04/2020
tentang Transaksi Afiliasi dan Benturan
Kepentingan (“POJK 42/2020”). Atas hal
tersebut, Perseroan akan memenuhi
kewajiban-kewajiban sebagaimana
dinyatakan dalam POJK 42/2020
sehubungan dengan transaksi afiliasi.
Furthermore, the Transaction Plan is
categorized as an affiliate transaction in
accordance with POJK 42/POJK.04/2020
concerning Affiliate Transactions and
Conflicts of Interest ("POJK 42/2020”).

Kemudian, Rencana Transaksi tidak memerlukan persetujuan rapat umum pemegang saham independen Perseroan, disebabkan nilai transaksi tidak melewati batas material yang wajib mendapatkan persetujuan rapat Umum pemegang saham Perseroan dan tidak mengakibatkan terganggunya kelangsungan usaha Perseroan. Then, the Transaction Plan does not reguire approval from the Companys independent general meeting of shareholders, because the transaction value does not exceed the material threshold that reguires approval from the Companys general meeting of shareholders and does not result in disruption of the Companys business continuity. Selanjutnya, Rencana Transaksi bukan merupakan benturan kepentingan sebagiamana didefinisikan dan diatur dalam POJK 42/2020 disebabkan tidak terdapat perbedaan antara kepentingan ekonomis Perseroan dengan kepentingan ekonomis Penjual yang dapat merugikan Perseroan.
