The Company received a financing facility with collateral from the Bank based on Credit Agreement Deed No. 35 dated 09 November 2023 made before Christina Dwi Utami, SH, MHum, Mkn Notary in Jakarta (“credit Agreement") (hereinafter referred to as the "Facility"). 3. | Uraian informasi atau Fakta Material Details of information or other relevant Material Fact: a. Objek perjanian: Fasilitas pembiayaan. b. Pihak-pihak yang perjanjian: & Perseroan sebagai Debitur dan @ PT Bank Mandiri (Persero) Tbk sebagai Kreditur. c. Sifat hubungan para pihak yang melakukan kontrak: Perseroan dengan Bank Mandiri tidak memiliki hubungan afiliasi. d. Nilai total dari Fasilitas adalah tidak lebih dari USD 9.600.000 (sembilan juta enam ratus ribu dolar Amerika Serikat) atau setara dengan Rp150.720.000.000 (seratus lima puluh milyar tujuh ratus dua puluh juta rupiah) mengacu pada kurs tengah BI per tanggal 6 November 2023 dimana 1 USD sebesar Rp.15.700). e. Alasan perolehan kontrak: Pembiayaan pembelian 1 (satu) unit Bulk Carrier Mother Vessel Supramax 57.000 DWT. h. Pada 30 September 2023, perseroan
memiliki ekuitas sebesar
Rp. 91.325.278.961 (sembilan puluh satu
miliar tiga ratus dua puluh lima juta dua
ratus tujuh puluh delapan ribu sembilan
ratus enam puluh satu rupiah).
Jumlah fasilitas pembiayaan yang
diterima perseroan adalah sekitar 1654
(seratus enam puluh lima persen) dari
jumlah ekuitas yang tercantum pada
Laporan Keuangan Interim per 30
September 2023 yang telah dilaporkan
perseroan.
Dengan demikian, transaksi penerimaan
fasilitas pinjaman ini termasuk dalam
kategori transaksi material sebagaimana
dimaksud dalam POJK No.
17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha
(“POJK 17/2020”). Namun, transaksi ini
merupakan transaksi pinjaman yang
diterima langsung oleh Perseroan dari
Kreditur yang merupakan pihak
Perbankan sebagaimana diatur dalam
Pasal 11 huruf (b) POJK 17/2020, maka
Perseroan tidak berkewajiban untuk
menggunakan penilai dan memperoleh
persetujuan rapat umum pemegang
saham.
Perseroan telah menyelenggarakan RUPS
Luar Biasa dan telah mendapat
persetujuan — RUPS sebagaimana
tercantum dalam Akta Berita Acara RUPS
LB No. 127 Tanggal 28 Juni 2023 oleh
Notaris Sugih Haryati, S.H., M.Kn, dengan
mata acara sebagai berikut ini:
1. Persetujuan Perubahan Penggunaan
Dana Hasil Penawaran Umum.
2. Persetujuan Rencana Transaksi
Material di atas 5096 Dari Ekuitas
Perseroan.
3. Persetujuan Menjadikan Jaminan
Utang Kekayaan Perseroan Yang

has eguity of Rp. 91,325,278,961 (ninety-
one billion three hundred twenty-five
million two hundred seventy-eight
thousand nine hundred and sixty one
rupiah).
The amount of financing facility received
by the company is egual to 1653 (one
hundred and sixty five percent) of the
total eguity stated in the Interim Financial
Report of September 30", 2023, which
has been reported by the company.
This transaction meets the material
transaction criteria as referred to in POJK
No. 17/POJK.04/2020 concerning
Material Transactions and Changes in
Business Activities ("POJK 17/2020").
However, this transaction is da loan facility
received directly by the Company from
Bank as the creditor as regulated in
Article 11 letter (b) POJK 17/2020, so the
Company is not obliged to use an
appraiser and obtain approval from the
general meeting of shareholders.
The Company has held an Extraordinary
GMS and has received approval from the
GMS as stated in the Deed of Minutes of
the Extraordinary GMS No. 127 Dated 28
June 2023 by Notary Sugih Haryati, S.H.,
M.Kn, with the following agenda:
1. Approval of Changes in the Use of
Public Offering Proceeds.
2. Approval of Material Transaction Plans
above 504 of the Company's Eguity.
3. Approval to make collateral for debts of
the company's assets which amount to
more than half of the company's net
assets.
