Uraian informasi atau fakta material:
Salah satu entitas anak yang dimiliki secara
langsung dan dikendalikan oleh Perseroan,
yaitu PT Kreasi Jasa Persada (“KJP”) tengah
dalam tahap negosiasi serta telah
menandatangani PPJB sehubungan dengan
rencana pembelian sebanyak 342.925.700
(tiga ratus empat puluh dua juta sembilan ratus
dua puluh lima ribu tujuh ratus) lembar saham,
yang merupakan 34”4 (tiga puluh empat
persen) dari jumlah total modal ditempatkan
dan disetor di dalam PT Petrosea Tbk
("PTRO”) yang dimiliki oleh PT Caraka Reksa
Optima, suatu perseroan terbatas yang
didirikan secara sah menurut hukum negara
Republik Indonesia, berkedudukan di Jakarta
Pusat (“CRO”).
(Selanjutnya rencana pembelian saham yang
diuraikan di atas disebut sebagai “Transaksi”).
Transaksi tersebut diklasifikasikan sebagai
transaksi material berdasarkan Peraturan OJK
No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha
(“POJK 17/2020”). Dengan demikian, sesuai
ketentuan yang diatur di dalam PPJB, salah
satu persyaratan untuk penyelesaian
Transaksi adalah dipenuhinya seluruh
persyaratan yang diatur dalam POJK 17/2020.
Setelah Transaksi diselesaikan, KJP akan
menjadi pengendali baru dari PTRO, dan
PTRO kemudian akan menjadi salah satu
anak perusahaan Perseroan. Hal tersebut
sejalan dengan tujuan dari Transaksi, yakni
untuk menambah aset KJP dan Perseroan
(secara tidak langsung), memperluas jaringan
usaha, serta sebagai bagian dari rencana
pengembangan usaha jangka Panjang Grup
Perseroan untuk menjadi perusahaan
pertambangan dan jasa pertambangan yang
terintegrasi.

material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten:

Description of material information or
facts:
One of the subsidiaries directly owned and
controlled by the Company, namely PT Kreasi
Jasa Persada (“KJP”) has been in negotiation
process and signed the CSPA for the proposed
purchase of 342,925,700 (three hundred forty
two million nine hundred twenty five thousand
seven hundred) shares, which constitutes as
3496 (thirty four percent) of the total issued and
paid-up capital of PT Petrosea Tbk (“PTRO”)
that is currently being owned by PT Caraka
Reksa Optima, a limited liability company that
is legally established according to and based
on the laws of the Republic of Inodnesia,
domiciled in Central Jakarta (“CRO”).
(hereinafter, the above proposed shares
purchase shall be referred to as
“Transaction').
The Transaction is classified as material
transaction under OJK Regulation No.
17/POJK.04/2020 regarding Material
Transaction and Change of Business Activities
("POJK 17/2020”). Therefore, as agreed in
CSPA, one of the conditions for completion of
the Transaction is, satisfaction of all
reguirements under POJK 17/2020.
After the Transaction is completed, KJP will
become the controlling shareholder of PTRO,
and PTRO shall be one of the Company's
subsidiaries. This is in line with the objectives
of the Transaction, namely to increase the
assets of KJP and the Company (indirectly),
expand its business network, and as apart of
the Group Company's long-term business
development plan to become an integrated
mining and mining services company.
