Singapura (“Monogic”), dan

2. Fore Coffee Singapore Pte. Ltd., suatu
perusahaan yang didirikan dan tunduk
pada hukum Republik Singapura
(FCSG)),

yang mengatur mengenai penyediaan jasa
pemasaran digital oleh Monogic kepada FCSG
di Singapura (“Service Agreemenf).

Berdasarkan Novation Agreement tertanggal
30 Maret 2026 antara Monogic, FCSG dan
Fore Holdings Pte. Ltd., suatu perusahaan
yang didirikan dan tunduk pada hukum
Republik Singapura (“FHPL”) (“Novasi”):

1. FCSG telah mengalihkan seluruh hak dan
kewajiban berdasarkan Service Agreement
kepada FHPL efektif sejak 30 Maret 2026,
sehingga FHPL menggantikan posisi
FCSG sebagai pihak dalam Service
Agreement dengan persetujuan Monogic.

which governs the provision of digital
marketing services by Monogic to FCSG in
Singapore("Service Agreement).

Pursuant to the Novation Agreement dated 30
March 2026 among Monogic, FCG and eta
Holdings Pte. Ltd, a company

and governed under the laws of the ame
of Singapore (“FHPL”) (“Novation”):

1. FCSG has transferred and assigned all its
Tights and obligations under the Service
Agreement to FHPL effective as of 30
March 2026, such that FHPLreplaces the
position of FCSG as a party to the Service
Agreement with the consent of Monogic.

memiliki hubungan afiliasi dengan
Perseroan, FCSG, maupun FHPL.

c. Sifat hubungan afiliasi :

-  FCSG merupakan perusahaan anak
tidak langsung dari Perseroan,
dimana Perseroan — memperoleh
kepemilikan tidak langsung melalui
kepemilikan saham sebesar 100Xx
pada Fore International Pte. Ltd.,

Transaksi afiliasi ini tidak memiliki Benturan Kepentingan sebagaimana
didefinisikan dalam POJK 42 Tahun 2020 sehingga tidak memerlukan

persetujuan pemegang saham independen dalam Rapat Umum Pemegang
Saham sebagaimana diatur di dalam POJK 42 Tahun 2020.

Direksi dengan persetujuan Dewan Komisaris Perseroan menyatakan bahwa
seluruh informasi material terkait dengan transaksi afiliasi sebagaimana
dimaksud di atas telah diungkapkan dan informasi tersebut tidak

menyesatkan.

This affiliated transaction does not constitute a Conflict of Interest as
defined under POJK 42/2020 and therefore does not reguire any approval
from independent shareholders in a General Meeting of Shareholders as
regulated in POJK 42/2020.

The Board of Directors, with the approval of the Board of Commissioners,

affirms that all material information relating to the aforementioned affiliated
transaction has been fully disclosed and is not misleading.
