- Barito Pacific Ti 1. | Tanggal Kejadian / : 127 Oktober / October 2023 Date of event 2. | Jenis Informasi atau | : | Informasi atau kejadian material lainnya sehubungan Fakta Material / dengan realisasi dan penyelesaian atas Transaksi Afiliasi sebagaimana diuraikan di dalam Keterbukaan Informasi yang telah disampaikan oleh Perseroan kepada OJK, Bursa Efek Indonesia dan masyarakat pada tanggal 5 Juli 2023, yang dilakukan oleh perusahaan terkendali Perseroan yaitu: (i) PT Barito Renewables Energy Tbk, suatu perseroan terbatas yang dimiliki secara langsung oleh Perseroan dengan kepemilikan saham sebesar 64,674 (“BREN”), (ii) Star Energy Group Holdings Pte. Ltd., suatu perseroan yang secara langsung dimiliki 10076 oleh BREN (“SEGHPL”), dengan afiliasi Perseroan yaitu (iii) Star Energy Oil & Gas Pte. Ltd. (“SEOG”). Transaksi Afiliasi tersebut merupakan transaksi yang memenuhi kriteria sebagai transaksi afiliasi yang diatur dalam Pasal 6 ayat (1) huruf b angka 3 Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42/2020”). Namun demikian, Transaksi Afiliasi ini tidak termasuk ke dalam kategori transaksi yang mengandung benturan kepentingan sebagaimana diatur di dalam POJK 42/2020. Penjelasan mengenai Transaksi Afiliasi tersebut telah diungkapkan: a. oleh Perseroan, di dalam Keterbukaan Informasi tanggal 5 Juli 2023, dan telah mendapatkan penilaian kewajaran oleh Kantor Jasa Penilai Publik Kusnanto & rekan berdasarkan Laporan Pendapat Kewajaran No. 00089/2.0162-00/BS/01/0153/1/VI1/2023, tanggal 3 Juli 2023, dan " b. oleh BREN, di dalam Prospektus tanggal 3 Oktober 2023 pada bab Penggunaan Dana, sehubungan ny www.barito-pacific.com LGL325102023

Type of Material Other material information or fact with regard to the
Information or Facts realization and completion of Affiliate Transaction as
described in the Disclosure of Information that has been
submitted by the Company to OJK, the Indonesia Stock
Exchange, and public on 5 July 2023, made by
companies which are controlled by the Company, i.e.: (i)
PT Barito Renewables Energy Tbk, a limited liability
company which shares directly owned by the Company in
the amount of 64,674 (“BREN”), (ii) Star Energy Group
Holdings Pte. Ltd., a company directly owned 10096 by
BREN ("SEGHPL”), with an affiliate of the Company iii)
Star Energy Oil & Gas Pte. Ltd. (“SEOG”).
Such Affiliate Transaction meets the criteria as an affiliate
transaction under Article 6 paragraph (1) letter b number
3 of OJK Rule No. 42/POJK.04/2020 on Affiliate
Transaction and Conflict of Interest Transaction (“POJK
42/2020”). However, this Affiliate Transaction is not
classified as a conflict of interest transaction under POJK
42/2020.
The explanation of such Affiliate Transaction has been
disclosed:
a. by the Company, in the Disclosure of Information
dated 5 July 2023, and had obtained a fairness
opinion from an independent Public Appraisal
Kusnanto & partner based on its Fairness Report No.
00089/2.0162-00/B5/01/0153/1/VII/2023, dated 3 July
2023, and
b. by BREN, in the Prospectus 3 October 2023 on
chapter regarding Use of Proceeds, in relation to the
Initial Public Offering (IPO) of BREN.

Perjanjian Penunjukan dan Penggantian Biaya tertanggal
tanggal 3 Juli 2023 (“Perjanjian”), dimana BREN
bersama-sama dengan SEGHPL sepakat untuk
menunjuk SEOG untuk mewakili SEGHPL dalam
menandatangani perjanjian pembelian saham milik pihak
ketiga yang tidak terafiliasi yaitu ACEN Renewables
International Pte. Ltd. (“ACEN”) di dalam ACEHI
Netherlands B.V. ("ACEHI”) sebanyak 2.424 saham yang
mewakili 24,24 dari seluruh saham yang diterbitkan
oleh ACEHI serta melakukan pelunasan atas harga jual
beli beserta seluruh biaya dan ongkos terkait dengan
pembelian saham tersebut.
Merujuk pada ketentuan Pasal 3 Perjanjian, atas
penunjukan SEOG tersebut, SEGHPL berkewajiban
untuk melakukan penggantian dan pembayaran kepada
SEOG, atas harga pembelian saham ACEHI, biaya
pinjaman, dan biaya lain telah disepakati Perjanjian.
Adapun dana yang dipakai oleh SEGHPL untuk melunasi
kewajiban pembayaran kepada SEOG berdasarkan
Perjanjian bersumber dari penyertaan modal yang
dilakukan oleh BREN di dalam SEGHPL. Dana
penyertaan modal tersebut diperoleh BREN dari hasil
Penawaran Umum Perdana Sahamnya (IPO).
Pada tanggal 27 Oktober 2023, BREN telah melakukan
penambahan penyertaan modal di dalam SEGHPL
dengan cara mengambil-bagian atas seluruh saham baru
yang diterbitkan oleh SEGHPL untuk jumlah yang setara
dengan USD72.500.397.
Dengan telah diterimanya setoran modal dari BREN
tersebut, pada tanggal 27 Oktober 2023, SEGHPL telah
melakukan penyetoran atas kewajiban pembayarannya
kepada SEOG berdasarkan Perjanjian dengan jumlah
keseluruhan sebesar USD66.500.000, dengan rincian
penggunaan sebagai berikut:

1. (Harga Jual Beli Saham | 69.811.11141 ACEHI 2 Biaya Pinjaman Bank yang 1174.492,04 meliputi: a. Upfront fee sebesar USD 188.968 dan b. biaya konsultan dengan estimasi sebesar
USD444.815,50 akan segera dibayarkan oleh SEOG
kepada konsultan terkait setelah menerima dokumen
tagihannya.
Description of : | As described in the Disclosure of Information of the
Material Information Company dated 5 July 2023, the Affiliate Transaction
or Facts between BREN, SEGHPL and SEOG was made under
the Appointment and Reimbursement Agreement dated 3
July 2023 (“Agreement”), whereby BREN together with
SEGHPL have agreed to appoint SEOG as a party who
will represent SEGHPL in the execution of an agreement
to purchase shares from a third party, ACEN
Renewables International Pte. Ltd. (“ACEN”), in relation
to the shares in ACEHI Netherlands B.V. ("ACEHI”) in
the amount of 2,424 shares which represent 24.244 of
the total issued shares in ACEHI, and pay the purchase
price including all costs and fees associated with such
Share purchase.
Article 3 of the Agreement reguires that due to the
appointment of SEOG, SEGHPL is reguired to reimburse
and pay SEOG, the purchase price of ACEHI shares,
costs related to the loan to finance the purchase price,
and other costs as agreed in the Agreement.
The fund to be used by SEGHPL to pay the payment
obligation to SEOG under the Agreement is originated
from the capital injection from BREN in the capital of
SEGHPL. Such fund was obtained by BREN from the
proceeds of its IPO.
On 27 October 2023, BREN injected capital into SEGHPL
through subscription of all shares issued by SEGHPL in
the amount egual to USD72.500.397.
Upon receiving such capital injection from BREN, on 27
October 2023, SEGHPL paid to SEOG, its payment
obligation under the Agreement, in the total amount of
USD66,500,000, with the following details:
