Uraian Informasi atau Fakta Material Perseroan bermaksud mengumumkan bahwa perusahaan
terkendali Perseroan, yaitu PT Hoki Distribusi Niaga
selanjutnya disebut PT HDN (dengan persentase
kepemilikan Perseroan sebanyak 70% (tujuh puluh persen)
saham dalam PT HDN), telah melakukan penyertaan modal
kepada PT Koki Sehat Sejahtera (PT KSS), suatu
perusahaan yang bergerak di bidang industri pengolahan
makanan dan perdagangan besar, sebesar Rp67.000.000
(enam puluh tujuh juta Rupiah) untuk 13.400 lembar
saham PT KSS, dengan nominal Rp5.000 per lembar saham.
Dengan adanya penyertaan modal PT HDN tersebut kepada
PT KSS, maka 40% (empat puluh persen) kepemilikan PT
KSS dimiliki oleh PT HDN, dengan rincian komposisi
pemegang saham PT KSS menjadi:
a. PT GITA memiliki 13.400 lembar saham atau
sebesar Rp67.000.000 (enam puluh tujuh juta rupiah).
b. Bpk. Junaedi Saputro memiliki 4.690 lembar saham
atau sebesar Rp23.450.000 (dua puluh tiga juta
empat ratus lima puluh ribu rupiah).
c. Bpk. Iwan Santoso memiliki 1.675 lembar saham
atau sebesar Rp8.375.000 (delapan juta tiga ratus
tujuh puluh lima ribu rupiah).
d. Bpk. Soetono memiliki 335 lembar saham atau
sebesar Rp1.675.000 (satu juta enam ratus tujuh
puluh lima ribu rupiah).
e. PT HOKI DISTRIBUSI NIAGA memiliki 13.400
lembar saham atau sebesar Rp67.000.000 (enam
puluh tujuh juta rupiah).
Bahwa penyertaan modal PT HDN ini telah dilakukan pada
tanggal 10 Oktober 2023, sebagaimana tercantum dalam
Akta No. 07 Tertanggal 10 November 2023 di hadapan
Notaris Dradjad Uripno, S.H., dengan lampiran keputusan
Menteri hukum dan Hak Asasi Manusia Republik Indonesia
No. AHU-0061592.AH.01.02.TAHUN 2023 tanggal 11 Oktober
2023.
Mengacu pada:
a. POJK No. 31/POJK.04/2015, tentang Keterbukaan atas
Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik, tertanggal 10 Desember 2015.
b. POJK No. 17/POJK.04/2020 tentang Transaksi Material
Dan Perubahan Kegiatan Usaha, tertanggal 20 April 2020
(POJK 17/2020).
c. POJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan, tertanggal 2 Juli 2020
(POJK 42/2020).
Nilai Transaksi:
Nilai transaksi adalah sebesar Rp67.000.000,-
Transaksi tersebut bukan merupakan Transaksi Material
sebagaimana dimaksud dalam POJK No. 17/2020
dikarenakan Nilai Transaksi tersebut tidak lebih dari 20% dari
Ekuitas Perseroan.
Hubungan antara Pihak-pihak dalam Transaksi:
Transaksi tersebut dilakukan antara PT HDN yaitu
Perusahaan Terkendali dari Perseroan yang bukan
merupakan Perusahaan Terbuka dan laporan keuangannya
dikonsolidasikan, dengan PT KSS yang bukan merupakan
Afiliasi dari Perseroan maupun PT HDN, sehingga transaksi
tersebut bukan merupakan Transaksi Afiliasi dan

Transaksi Benturan Kepentingan sebagaimana dimaksud
dalam POJK No. 42/2020.
Dampak kejadian, informasi atau fakta Perseroan akan memiliki peluang lebih besar untuk
material tersebut terhadap kegiatan meningkatkan pemasukan melalui PT HDN yang merupakan
operasional, hukum, kondisi keuangan, Perusahaan Terkendali dari Perseroan.

Description of Material Information or The company intends to announce that the company

hereinafter referred to as PT HDN (with percentage

to PT Koki Sehat Sejahtera (PT KSS), a

PT KSS shares, with a nominal value of IDR 5,000 per share.
With PT HDN's capital participation in
PT KSS, then 40% (forty percent) ownership of PT
KSS is owned by PT HDN, with details of composition
PT KSS shareholders become:
a. PT GITA owns 13,400 shares or
amounting to IDR 67,000,000 (sixty-seven million rupiah).
b. Mr. Junaedi Saputro owns 4,690 shares
or IDR 23,450,000 (twenty three million
four hundred and fifty thousand rupiah).
c. Mr. Iwan Santoso owns 1,675 shares
or IDR 8,375,000 (eight million three hundred
seventy-five thousand rupiah).
d. Mr. Soetono owns 335 shares or
amounting to IDR 1,675,000 (one million six hundred and
