Uraian Informasi atau Fakta Material Perseroan bermaksud untuk membiayai penawaran tender
tunai untuk pembelian kembali atas: (i) setiap dan seluruh
jumlah terhutang berdasarkan 6,75% Surat Utang Senior jatuh
tempo 2025 yang diterbitkan oleh Medco Platinum Road Pte.
Ltd. (Surat Utang 2025), (ii) sebanyak-banyaknya
US$60.000.000 atas 7,375% Surat Utang Senior jatuh tempo
2026 yang diterbitkan oleh Medco Oak Tree Pte. Ltd. (Surat
Utang 2026), (iii) sebanyak-banyaknya US$60.000.000 atas
7,375% Surat Utang Senior jatuh tempo 2027 yang diterbitkan
oleh Medco Bell Pte. Ltd. (Surat Utang 2027), dan (iv)
sebanyak-banyaknya US$70.000.000 atas 6,95% Surat Utang
Senior jatuh tempo 2028 yang diterbitkan oleh Medco Laurel
Tree Pte. Ltd (Surat Utang 2028) yang mana seluruhnya
adalah merupakan anak perusahaan yang seluruhnya dimiliki
oleh Perseroan (Para Penerbit) dan dijamin secara tanpa
syarat dan tidak dapat ditarik kembali oleh Perseroan dan
beberapa anak perusahaannya, dengan total harga pembelian
(termasuk accrued interest) sebagaimana dirinci dalam
dokumen Penawaran Pembelian (Penawaran Tender)
Penyelesaian Penawaran Tender bergantung pada
pemenuhan kondisi tertentu, dalam setiap hal, sebagaimana
diubah, diganti, dikesampingkan atau ditambah oleh Para
Penerbit dan Perseroan.
Sebagai referensi, terlampir kami sampaikan pengumuman
SGX-ST (versi Bahasa Inggris dan terjemahan Bahasa
Indonesia) tertanggal 12 Oktober 2023 sehubungan dengan
Penawaran Tender.

Dampak kejadian, informasi atau fakta Tidak terdapat dampak khusus lainnya atas penyampaian
material tersebut terhadap kegiatan keterbukaan informasi ini, mengingat penyampaian
operasional, hukum, kondisi keuangan, keterbukaan informasi ini merupakan pemenuhan kewajiban
atau kelangsungan usaha Emiten atau keterbukaan informasi berdasarkan POJK No. 31.

Description of Material Information or The Company intends to fund a cash tender offer for the
Facts repurchase: (i) any and all of the outstanding of 6.75% Senior
Notes due 2025 issued by Medco Platinum Road Pte. Ltd (the
2025 Notes), (ii) up to US$60,000,000 7.375% Senior Notes
due 2026 issued by Medco Oak Tree Pte. Ltd. (the 2026
Notes), (iii) up to US$60,000,000 6.375% Senior Notes due
2027 issued by Medco Bell Pte. Ltd (2027 Notes), and (iv) up
to US$70,000,000 6.95% Senior Notes due 2028 issued by
Medco Laurel Tree Pte. Ltd (2028 Notes), all of which are a
wholly-owned subsidiaries of the Company (the Issuers) and
unconditionally and irrevocably guaranteed by the Company
and its certain subsidiaries, for an aggregate purchase price
(including accrued interest) as detailed in the Offer to
Purchase (Tender Offer).
The consummation of the Tender Offer is conditioned upon the
satisfaction of certain conditions, in each case, as modified,
amended, waived or supplemented by the Issuers and the
Company.
As a reference, we hereby attached the SGX-ST
announcement (in English language version and Bahasa
Indonesia translation) dated 12 October 2023 in relation to the
Tender Offer.
Impact of event, material information or There is no other specific impact of this disclosure of
facts towards Issuers or Public information, considering the submission of this disclosure of
Company’s operational activities, legal, information as the fulfillment of disclosure obligation under
financial condition, or going concern POJK No. 31.
