1 ) SARANA MENARA NUSANTARA Objek dan Nilai Transaksi/ Object and Value of the Transaction Objek Transaksi / Object of Transaction: Penandatanganan Perjanjian Perubahan Kelima Belas atas Perjanjian Fasilitas tertanggal 5 Oktober 2023 (“Perjanjian Fasilitas”) oleh dan antara BCA sebagai pemberi pinjaman dengan Protelindo, Iforte, KIN, SUPR, BIT, @TR, GIK dan VTS (yang semuanya merupakan anak perusahaan terkonsolidasi oleh Perseroan), masing-masing sebagai peminjam (“Para Peminjam”) / The execution of the Fifteenth Amendment to The Facility Agreement dated October 5, 2023 (“Facility Agreement”) between BCA as the lender and Protelindo, Iforte, KIN, SUPR, BIT, ATR, GIK and VTS (all of which are consolidated subsidiaries of the Company) as borrowers (“Borrowers”). Berikut adalah syarat dan ketentuan penting dalam Perjanjian Fasilitas: / The following are key terms and conditions under the Facility Agreement: (a) Penambahan VTS sebagai Para Peminjam dalam Perjanjian Fasilitas dengan sub-limit dalam kredit investasi-8 sebesar Rp25.000.000.000.- tersedia untuk VTS, / Adding VTS as co-borrowers under Facility Agreement with the sub-limit under credit investment-8 in the amount of IDR25.000.000.000 available for VTS, (b) Para Peminjam telah setuju untuk bertanggung jawab secara tanggung renteng terhadap pelaksanaan seluruh kewajiban berdasarkan Perjanjian Fasilitas. / Borrowers have agreed to be Jointly and severally liable for the performance of all Oobligations under the Facility Agreement. Penjelasan, Pertimbangan dan Alasan dilakukannya Transaksi Material/ Explanation, Considerations and Reasons for Material Transactions Perjanjian Fasilitas ini bertujuan untuk pembiayaan kebutuhan capital expenditure 2023, pembiayaan kembali atas pinjaman di bank atau obligasi. Struktur transaksi tersebut diatas akan memungkinkan Para Peminjam memperoleh pembiayaan dengan syarat dan kondisi yang lebih baik. / The purpose of this Facility Agreement is for 2023 capital expenditure financing, and refinancing of bank loans or Bonds. The financing structure above will facilitate the Borrowers to get a preferable financing terms and conditions. Hubungan sifat afiliasi dari para pihak yang melakukan Transaksi Material/ The affiliation relation of the parties conducting Material Transactions Perjanjian Fasilitas sebagaimana disebutkan di atas merupakan transaksi afiliasi bagi Perseroan sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf (d) POJK 42 dan Pasal 6 ayat (1) huruf (e) POJK 42. / Transaction as mentioned above is affiliated transaction as referred to in Clause 6 section (1) letter (d) POJK 42 and Clause 6 section (1) letter (e) POJK 42. Keterangan information lain-lain / Other 1. Nilai Perjanjian Fasilitas termasuk ke dalam transaksi material sebagaimana dimaksud dalam POJK 17, yakni memiliki nilai transaksi mencapai lebih dari 2046 dari ekuitas Perseroan berdasarkan Laporan Keuangan Perseroan yang diaudit per tanggal 31 Desember 2022. Namun transaksi merupakan transaksi material yang dikecualikan dikarenakan merupakan transaksi pinjaman yang diterima secara langsung dari bank sebagaimana dimaksud dalam Pasal 11 huruf (b) POJK 17. / The value of the Facility Agreement is deemedas a material transaction as referred to in POJK 17, i.e. more than 204 of the Company's eguity, based on the Company's audited Financial Statement as of December 31, 2022. However, the Facility Agreement is a material transaction that is exempted because it is a loan transaction received directly from the bank as referred to in Article 11 letter (b) of POJK 17. 2. Transaksi tersebut di atas merupakan transaksi afiliasi sebagaimana dimaksud dalam/ Transaction is an affiliated transaction as referred to: (9 (ii) Pasal 6 ayat (1) huruf (d) yaitu transaksi pinjaman yang diterima secara langsung dari bank, perusahaan modal ventura, perusahaan pembiayaan, atau perusahaan pembiayaan infrastruktur baik dari dalam negeri maupun luar negeri./ Clause 6 section (1) letter (d) i.e., a loan transaction received directly from banks, venture capital companies, finance companies, or infrastructure finance companies both from within the country and abroad. Pasal & huruf (e) POJK 42, yaitu transaksi pemberian jaminan kepada bank atas pinjaman yang diterima secara langsung oleh Perusahaan Terbuka atau Perusahaan Terkendali / Clause 6 section (1) letter (e) OJK Rule 42, ie. a corporate guarantee provided to bank in relation to the loan agreement granted to the Issuer or subsidiaries. Transaksi tersebut di atas bukan merupakan transaksi benturan kepentingan bagi Perseroan sebagaimana diatur dalam POJK 42/ The Transaction is not a conflict- of-interest transaction of the Company as referred to in POJK 42.
