Uraian Informasi atau Fakta Material Rencana penjualan seluruh saham milik PT Paramita Bangun
Sarana Tbk ("Perseroan") pada PT EcoOils Jaya Indonesia
("PT EJI") atau sebesar 24.000 (dua puluh empat ribu) saham
("Saham yang Dijual") yang mewakili 10% (sepuluh persen)
dari total modal disetor dan ditempatkan PT EJI ("Rencana
Transaksi") kepada:
a. EcoOils Pte. Ltd. sebesar 21.600 (dua puluh satu ribu enam
ratus) saham; dan
b. EcoOils Sdn. Bhd. Sebesar 2.400 (dua ribu empat ratus)
saham.
Sehubungan dengan jual beli atas Saham yang Dijual
tersebut, Perseroan (selaku Penjual) dengan EcoOils Pte. Ltd.
dan EcoOils Sdn. Bhd. (secara bersama-sama sebagai
Pembeli) telah menandatangani Perjanjian Jual Beli Saham
Bersyarat tertanggal 5 Oktober 2023 ("PPJB Saham").
Adapun sesuai dengan PPJB Saham, baik Perseroan dan
EcoOils Pte. Ltd. dan EcoOils Sdn. Bhd., telah menyepakati
jual beli atas Saham yang Dijual, dengan tetap tunduk pada
syarat dan ketentuan yang tercantum pada PPJB Saham.

material tersebut terhadap kegiatan kegiatan operasional, hukum, kondisi keuangan atau

Perusahaan Publik Merujuk pada Pasal 3 ayat (1) jo. Pasal 6 ayat (1) huruf (d)
Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha
("POJK No. 17/2020"), maka Rencana Transaksi sebagaimana
dimaksud dalam PPJB Saham merupakan transaksi material,
dimana Rencana Transaksi melebihi 20% (dua puluh persen)
ekuitas Perseroan namun dibawah 50% ekuitas Perseroan,
sehingga tidak membutuhkan persetujuan Rapat Umum
Pemegang Saham Perseroan.
Namun demikian, sesuai dengan Pasal 6 POJK No. 17/2020,
maka Perseroan akan mengumumkan keterbukaan informasi
atas transaksi material tersebut kepada masyarakat, sesuai
dengan ketentuan substansi dan jangka waktu yang diatur
dalam POJK No. 17/2020, setelah penandatanganan
perjanjian jual beli atas Saham yang Dijual.
Selanjutnya, tidak terdapat hubungan afiliasi antara
Perseroan, EcoOils Pte. Ltd. dan EcoOils Sdn. Bhd., sehingga
Rencana Transaksi tidak termasuk sebagai transaksi afiliasi
sebagaimana dimaksud dalam Peraturan Otoritas Jasa
Keuangan No. 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan.

Description of Material Information or Plan to sell all shares owned by PT Paramita Bangun Sarana
Facts Tbk ("Company") in PT EcoOils Jaya Indonesia ("PT EJI") or
24,000 (twenty four thousand) shares ("Sale Shares")
representing 10 (ten percent ) of the total paid up and issued
capital of PT EJI ("Transaction Plan") to:
a. EcoOils Pte. Ltd. in the amount of 21,600 (twenty one
thousand six hundred) shares; and
b. EcoOils Sdn. Bhd. in the amount of 2,400 (two
thousand four hundred) shares.
In connection with the sale and purchase of the Sale Shares,
the Company (as the Seller) and EcoOils Pte. Ltd. and EcoOils
Sdn. Bhd. (together as the Buyers) have signed a Conditional
Sale and Purchase Agreement dated 5th October 2023
("CSPA of Shares").
In accordance with the CSPA of Shares, both the Company
and EcoOils Pte. Ltd. and EcoOils Sdn. Bhd., have agreed to
the sale and purchase of the Sale Shares, subject to the terms
and conditions stated in the CSPA of Shares.

Referring to Article 3 paragraph (1) jo. Article 6 paragraph (1)
letter (d) Financial Services Authority Regulation No.
17/POJK.04/2020 concerning Material Transactions and
Changes in Business Activities ("POJK No. 17/2020"), the
Transaction Plan as referred to in the CSPA of Shares is a
material transaction, where the Transaction Plan exceeds 20%
(twenty percent) of the Company's equity but below 50% of the
Company's equity, so it does not require approval from the
Company's General Meeting of Shareholders.
However, in accordance with Article 6 POJK No. 17/2020, the
Company will announce the disclosure of information regarding
these material transactions to the public, in accordance with
the substance and time period provisions stipulated in POJK
No. 17/2020, after signing the SPA of Shares.
Furthermore, there is no affiliation between the Company (on
the one hand) and EcoOils Pte. Ltd. and EcoOils Sdn. Bhd.
(on the other hand), therefore the Transaction Plan is not fall
under as an affiliate transaction as regulated in Financial
Services Authority Regulation No. 42/POJK.04/2020
concerning Affiliate Transactions and Conflict of Interest
Transactions.
