Uraian Informasi atau Fakta Material Pada tanggal 4 Oktober 2023, Perseroan telah mengalihkan
seluruh saham miliknya pada PT AXA Insurance Indonesia
(sebelumnya PT Mandiri AXA General Insurance, selanjutnya
disebut sebagai AII) sejumlah 138.000 saham, yang mewakili
20% dari modal ditempatkan dan disetor pada AII (Saham)
masing-masing sebesar 69.000 saham yang merupakan 10%
dari modal ditempatkan dan disetor pada AII kepada Bapak
Anil Panjwani dan 69.000 saham yang merupakan 10% dari
modal ditempatkan dan disetor pada AII kepada Bapak Manoj
Ramkrashin Tolani. Lebih lanjut, tidak terdapat hubungan
afiliasi di antara Perseroan dengan Bapak Anil Panjwani dan
Bapak Manoj Ramkrashin Tolani sebagai para pembeli
(Transaksi).
Setelah dilakukannya pengalihan Saham tersebut, maka
selanjutnya Perseroan tidak lagi memiliki saham di AII.
Dampak kejadian, informasi atau fakta Transaksi pengalihan Saham tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material terhadap kelangsungan usaha Perseroan.

Nilai penjualan Saham tidak mencapai 20% dari total nilai ekuitas Perseroan, sehingga transaksi ini bukan merupakan
transaksi material sebagaimana dimaksud di dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material
Dan Perubahan Kegiatan Usaha. Transaksi ini juga bukan merupakan transaksi afiliasi dan transaksi benturan
kepentingan sebagaimana dimaksud di dalam Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan. Semua informasi material telah diungkapkan dan informasi tersebut tidak
menyesatkan. Transaksi pengalihan saham ini merupakan bagian dari strategi perseroan dalam memperkuat
konsolidasi perusahaan anak di Bank Mandiri Group untuk mendapatkan hasil investasi yang optimal, setelah
sebelumnya Bank Mandiri melepas 40% kepemilikan saham di Mandiri AXA General Insurance pada Nopember 2018.
Penting untuk dicatat bahwa Transaksi ini juga tidak akan mengakhiri kerjasama bancassurance oleh Perseroan dengan

AII dan juga tidak memiliki dampak terhadap seluruh kerjasama di antara Perseroan dengan AXA Group melalui PT
AXA Mandiri Financial Services yang bergerak pada bidang asuransi jiwa.

Transfer of Shares in PT AXA Insurance Indonesia
Type of Material Information or Facts
Description of Material Information or On 4 October 2023, the Company transferred all of its shares
Facts in PT AXA Insurance Indonesia (previously PT Mandiri AXA
General Insurance, hereinafter referred to as AII) in the
amount of 138.000 shares representing 20% of the total issued
and paid-up capital in AII (Shares), each in the amount of
69.000 shares representing 10% of the total issued and paid-
up capital in AII to Mr. Anil Panjwani and in the amount of
69.000 shares representing 10% of the total issued and paid-
up capital in AII to Mr. Manoj Ramkrashin Tolani. Further, there
is no affiliated relationship between the Company and Mr. Anil
Panjwani and Mr. Manoj Ramkrashin Tolani as the purchasers
(the Transaction).
Following the transfer of the Shares, the Company no longer
owns any shares in AII.
Impact of event, material information or This transaction of Shares transfer does not affect Companys
facts towards Issuers or Public business continuity.
Company’s operational activities, legal,
financial condition, or going concern
Other Information
The value of the Shares does not reach 20% of the total equity of the Company, thus this transaction does not
constitute as a material transaction as regulated under OJK Regulation No. 17/POJK.04/2020 on the Material
Transaction and Change of Main Business Activity. This transaction is not an affiliated transaction and conflict of
interest transaction as regulated under OJK Regulation No. 42/POJK.04/2020 on Affiliated Party Transaction and
Conflict of Interest Transaction. All the material information has been disclosed and the information is not
misleading. The Transaction is a continuation of Bank Mandiri's strategy to strengthen consolidation of subsidiaries
in Bank Mandiri Group to optimize its investment return, where Bank Mandiri has previously divested 40% of its
shares ini Mandiri AXA General Insurance on November 2018. It is important to note that this Transaction shall not
terminate the bancassurance partnership between the Company and AII and shall not affect any cooperation
between the Company and AXA Group through PT AXA Mandiri Financial Services in life insurance industry.
