Perseroan sebelumnya telah menyampaikan Keterbukaan Informasi atas Transaksi ini melalui Form E019 pada
tanggal 11 Maret 2026 dengan Nomor Surat 005/CS/CTI-OJK/III/2026. Sesuai dengan POJK, Perjanjian Fasilitas
(termasuk, dalam hal ini, Fasilitas Pinjaman Inkremental) dikecualikan dari kewajiban untuk menggunakan penilai
dan memperoleh persetujuan terlebih dahulu dari Rapat Umum Pemegang Saham Perseroan berdasarkan
ketentuan Pasal 11 huruf b dan huruf c Peraturan 17/2020 dan Pasal 6 ayat (1) huruf d dan huruf e Peraturan
42/2020.
Perjanjian Fasilitas (termasuk, dalam hal ini, Fasilitas Pinjaman Inkremental) tidak mengandung benturan
kepentingan sebagaimana dimaksud dalam Peraturan 42/2020.
Perseroan melakukan koreksi pada persentase nilai transaksi terhadap ekuitas dengan mengacu pada laporan
keuangan konsolidasian Perseroan terakhir yang diaudit menjadi 19%

The Company has previously submitted the disclosure of information regarding this transaction through Form E019
on 11 March 2026 under Letter No. 005/CS/CTI-OJK/III/2026. in accordance with the POJK, the Facility Agreement
(including, in this matter, the Incremental Loan Facility) and the granting of Security is exempted from the
requirement of using independent appraiser and obtaining prior approval of the General Meeting of Shareholders of
the Company in accordance with Article 11 point b and point c of Regulation 17/2020 and Article 6 paragraph (1)
point d and point e of Regulation 42/2020. The Facility Agreement (including, in this matter, the Incremental Loan
Facility) does not contain conflict of interest as referred to in Regulation 42/2020.
The Company has revised the percentage of the transaction value to equity to 19%, based on the Company s latest
audited consolidated financial statements.
