Information or Facts

Perseroan dan Medco E&P Grissik Ltd (“MEPG”) telah
menyepakati rancangan perjanjian jual beli gas untuk
wilayah penyaluran gas ke Jawa Bagian Barat, Sumatera
Selatan, Sumatera Tengah dan Kepulauan Riau (“Draf
PJBG'), dimana MEPG bertindak selaku Penjual dan
Perseroan selaku Pembeli. Saat ini MEPG sedang dalam
proses untuk mendapatkan penetapan alokasi dan harga
gas dari Menteri Energi dan Sumber Daya Mineral
(“Menteri ESDM”), serta persetujuan penandatanganan
Draft PJBG dari SKK Migas.

Setelah penetapan Menteri ESDM dan persetujuan SKK
Migas diterima, Perseroan dan MEPG akan
menandatangani perjanjian jual beli gas untuk wilayah
penyaluran gas ke Jawa Bagian Barat, Sumatera Selatan,
Sumatera Tengah dan Kepulauan Riau (“PJBG”).

The Company and Medco E&P Grissik Ltd (“(MEPG”) have
agreed on the draft gas sales and purchase agreement for
gas distribution areas to Western Java, South Sumatera,
Central Sumatera and Riau Islands (“GSPA Draft”), in
which MEPG acts as the Seller and the Company as the
Buyer, and currently is in the process of obtaining the
allocation and gas price determination from Minister of
Energy and Natural Resources, and approval for gas sales
and purchase agreement signing from SKK Migas.

After the Minister of Energy and Natural Resources
determination and SKK Migas approval have been
obtained, the Company and MEPG will execute gas sales
and purchase agreement for gas distribution areas to
Western Java, South Sumatera, Central Sumatera and
Riau Islands (“GSPA”).

Pada tanggal 30 September 2023 Perseroan dan MEPG
telah menandatangani Kesepakatan Bersama (“KB”)
dengan mengacu pada syarat dan ketentuan dalam Draf
PJBG. KB digunakan sebagai bridging dokumen bagi
Perseroan dan MEPG untuk melakukan transaksi jual beli
gas sampai dengan ditandatanganinya PJBG oleh para
pihak.

On 30 September 2023 the Company and MEPG have
signed a Joint Agreement ("KB") with reference to the
terms and conditions in the GSPA Draft. The KB is used as
a bridging document for the Company and MEPG to carry
out gas purchase and sale transactions until the GSPA is
signed by the parties.

Jangka waktu KB sampai dengan 31 Desember 2023 atau
sampai dengan ditandatanganinya PJBG mana yang lebih
dahulu terjadi, dengan periode penyaluran gas sejak 1

Oktober 2023 sampai dengan 31 Desember 2028.
Diharapkan PJBG telah ditandatangani oleh MEPG dan
Perseroan sebelum 31 December 2023 untuk
menggantikan KB.

is signed whichever occurs first, with gas supply period is
from 1 October 2023 until 31 December 2028. It is
expected that GSPA has been signed by MEPG and the
Company before 31 December 2023 to replace KB.
