Uraian Informasi atau Fakta Material Pada tanggal 21 September 2023, anak-anak perusahaan
Perseroan yang secara langsung maupun tidak langsung
dimiliki 100% oleh Perseroan, yaitu PT Kalista Nusa Armada
(KNA) dan PT Solusi Mobilitas Indonesia (SMI), telah
mendirikan perusahaan yang bernama PT Kalista Nayara
Dayautama (KND).
Pendirian KND tersebut telah dinyatakan dalam Akta Pendirian
No.37 tertanggal 21 September 2023 yang dibuat di hadapan
Ungke Mulawanti, SH., M.Kn., Notaris di Bekasi dan telah
mendapatkan pengesahan sebagai badan hukum oleh Menteri
Hukum dan Hak Asasi Manusia Republik melalui Surat
Keputusan No.AHU-0071928.AH.01.01.Tahun 2023 tanggal
22 September 2023.
KND akan melakukan kegiatan usaha pengoperasian instalasi
penyediaan tenaga listrik, menjalankan usaha penjualan
tenaga listrik kepada konsumen akhir serta melakukan
perdagangan besar untuk mesin dan peralatan instalasi
penyediaan tenaga listrik.
Keterangan mengenai struktur kepemilikan modal KND adalah
sebagai berikut:

Dampak kejadian, informasi atau fakta Penyertaan saham KNA dan SMI dalam KND merupakan
material tersebut terhadap kegiatan kelanjutan langkah Perseroan secara grup untuk melakukan
operasional, hukum, kondisi keuangan, ekspansi usaha di sektor kendaraan listrik, khususnya dalam
atau kelangsungan usaha Emiten atau hal pengembangan infrastruktur pengisian kendaraan listrik di
Perusahaan Publik Indonesia.

Description of Material Information or On 21 September 2023, the Company's subsidiaries which are
Facts 100% directly and indirectly owned by the Company, namely
PT Kalista Nusa Armada (KNA) and PT Solusi Mobilitas
Indonesia (SMI), have established a company
namely PT Kalista Nayara Dayautama (KND).
Establishment of KND had been stated through Deed of
Establishment No. 37 dated 21 September 2023, which was
made before Ungke Mulawanti, SH., M.Kn., Notary in Bekasi,
and ratified by the Ministry of Law and Human Rights of
Republic of Indonesia through Decree No.AHU-0071928.AH.
01.01.Tahun 2023 dated 22 September 2023.
KND will conduct the operation of electric supply installations,
run an electricity sales business, and carry out wholesale trade
in machines and equipment for electricity supply installations.
Details of the shareholding structure of KND are as follows:

SMI Rp1.000.000,- 0,002%
Total Rp60.000.000.000,- 100%
Impact of event, material information or KNA and SMI's participation in KND reflect the continuing
facts towards Issuers or Public steps of the group of Company to expand its business
Company’s operational activities, legal, activities in electric vehicle sector, especially in development of
financial condition, or going concern electric vehicles charging infrastructure in Indonesia.
