Uraian Informasi atau Fakta Material Pada tanggal 20 September 2023, anak perusahaan
Perseroan telah menandatangani perjanjian sebagai berikut:
(1) Perjanjian Fasilitas antara PT Kariangau Gapura
Terminal Energi (KGTE) dengan PT Bank DBS Indonesia
(DBS) hingga sebesar US$50.000.000 (Perjanjian Fasilitas),
dengan jangka waktu 3 (tiga) tahun 6 (enam) bulan sejak
penandatanganan Perjanjian Fasilitas.
Fasilitas tersebut akan digunakan oleh KGTE untuk
pembayaran atas fasilitas term loan sindikasi KGTE yang ada
(Keterbukaan Informasi No.092/IE/CSL/LET /XII/2021 tanggal
29 Desember 2021).
(2) Perjanjian Jaminan Korporasi antara PT Interport
Mandiri Utama (IMU) dengan DBS (Perjanjian Jaminan
Korporasi) yang merupakan jaminan atas Perjanjian Fasilitas.
IMU dan KGTE adalah anak perusahaan yang dimiliki 100%
(seratus persen) oleh Perseroan secara tidak langsung.
Perjanjian Jaminan Korporasi ini merupakan transaksi afiliasi
yang menurut POJK42/2022 Pasal 6 ayat (1) butir b. 3.,
diwajibkan untuk dilaporkan kepada OJK paling lambat pada
akhir hari kerja ke-2 (kedua) setelah tanggal transaksi afiliasi.
Dampak kejadian, informasi atau fakta Transaksi ini tidak berdampak material, namun akan
material tersebut terhadap kegiatan meiningkatkan likuiditas keuangan Perseroan.

Description of Material Information or On September 20, 2023, the Company's subsidiaries have
Facts signed agreements as detailed below:
(1) Facility Agreement between PT Kariangau Gapura
Terminal Energi (KGTE) and PT Bank DBS Indonesia (DBS)
amounting up to US$50,000,000 (Facility Agreement) with a
period of 3 (three) years and 6 (six) months from the signing of
the Facility Agreement.
The facility will be used by KGTE for payment of the existing
KGTE's syndicated term loan facility (Disclosure of Information
No.092/IE/CSL/LET/XII/2021 dated 29 December 2021).
(2) Corporate Guarantee Agreement between PT
Interport Mandiri Utama (IMU) and DBS (Corporate Guarantee
Agreement) as a security for the Facility Agreement.
IMU and KGTE are the subsidiaries that are 100% (one
hundred percent), indirectly owned by the Company.
This Corporate Guarantee Agreement is an affiliate transaction
according to POJK42/2022 Article 6 paragraph (1) point b. 3.,
required to be reported to the OJK no later than the end of the
2nd (second) working day after the date of the affiliate
transaction.
Impact of event, material information or This transaction has no material impact and will improve the
facts towards Issuers or Public Company's financial liquidity .
