Uraian Informasi atau Fakta Material Pada tanggal 12 Maret 2026, PT Bank QNB Indonesia Tbk
(QNB) sebagai pemberi pinjaman serta PT Profesional
Telekomunikasi Indonesia (Protelindo), PT Iforte Solusi Infotek
(Iforte) dan PT Iforte Energi Nusantara (IEN) sebagai
peminjam telah menandatangani Amandemen Perjanjian
Fasilitas Kredit sehubungan dengan perpanjangan jangka
waktu fasilitas (Amandemen Perjanjian Fasilitas). Amandemen
Perjanjian Fasiltas ini merupakan perubahan atas Perjanjian
Fasilitas Kredit Nomor 019/PK-1114/III/2024 tertanggal 26
Maret 2024 dengan keseluruhan jumlah pokok sampai dengan
Rp500.000.000.000 (Perjanjian Fasilitas Awal dan bersama-
sama dengan Amandemen Perjanjian Fasilitas disebut
sebagai Perjanjian Fasilitas atau Transaksi).
Berikut adalah syarat dan ketentuan penting berdasarkan
Perjanjian Fasilitas:
1. Para Pihak dengan ini sepakat untuk memperpanjang
jangka waktu fasilitas menjadi sampai dengan 26 Juni 2026.
2. Para Pihak bertanggung jawab secara tanggung
renteng terhadap pelaksanaan seluruh kewajiban berdasarkan
Perjanjian Fasilitas.
1. Penandatanganan Transaksi merupakan transaksi afiliasi
sebagaimana dimaksud dalam:
(a) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No.
42 Tahun 2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan (POJK 42), yaitu transaksi sesama
Perusahaan Terkendali yang sahamnya dimiliki paling sedikit
99% (sembilan puluh sembilan persen) oleh Perusahaan
Terbuka; dan
(b) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman yang diterima
secara langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali.
2. Penandatanganan Perjanjian Kredit di atas bukan
merupakan transaksi benturan kepentingan sebagaimana
dimaksud dalam POJK 42 dan bukan merupakan transaksi
material sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak menimbulkan
material tersebut terhadap kegiatan dampak negatif yang material dan merugikan terhadap
operasional, hukum, kondisi keuangan, kegiatan operasional, aspek hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau maupun kelangsungan usaha Perseroan.

Signing of the Amendment Credit Facility Agreement to the

Description of Material Information or On March 12, 2026, PT Bank QNB Indonesia Tbk (QNB) as
Facts the lender and PT Profesional Telekomunikasi Indonesia
(Protelindo), PT Iforte Solusi Infotek (Iforte) and PT Iforte
Energi Nusantara (IEN) as borrowers have signed the
Amendment Credit Facility Agreement in connection with the
extension of the facility term (Amendment to Facility
Agreement). This Amendment to Facility Agreement has
amended the Credit Facility Agreement Number 019/PK-
1114/III/2024 dated March 26, 2024. with a total principal
amount of up to Rp500,000,000,000. (Original Facility
Agreement and together with the the Amendment to Facility
Agreement shall be referred as Facility Agreement or
Transaction).
The following are the key terms and conditions under the
Facility Agreement:
1. The Parties hereby agree to extend the facility term
until June 26, 2026.
2. The Parties are jointly liable for the obligations under
the Facility Agreement.
1. The execution of the Transaction is an affiliated
transaction as referred to:
(a) Clause 6 section (1) letter b point (2) of OJK
Regulation No. 42 of 2022 regarding the Affiliated Transaction
and Conflict of Interest Transaction (OJK Rule 42), i.e. a
transaction between the subsidiaries whose at least 99% of
their shares are owned by the Public Company; and
(b) Clause 6 section (1) letter (e) of POJK 42, i.e. a
corporate guarantee provided to bank in relation to the loan
agreement granted to the Issuer or its subsidiaries
2. The signing of the Facility Agreement is not a conflict-
of-interest transaction of the Company as referred to POJK 42
and not a material transaction as referred to the OJK
