Other material information or fact relating to the
signing of the Conditional New Share Purchase
Agreement on 12 September 2023 between the Company
and PT Sumber Mineral Abadi (“SMA”) (“CNSPA”) in
connection with the Company's plan to purchase new
Shares to be issued by SMA.
3. | Uraian Informasi atau Fakta Material / | Berdasarkan PPSBB, Perseroan akan membeli saham
Description of material information or | baru SMA sejumlah sebesar-besarnya 50Y4 (Lima Puluh
Jact Persen) dari seluruh modal ditempatkan dan disetor pada
SMA (“Saham Baru”) pada Tanggal Penyelesaian
(sebagaimana didefinisikan di bawah).
Based on CNSPA, the Company will purchase to SMA's
new shares amounting to ad maximum of 504 (Fify
Perceni) ofall issued and paid-up capital in SMA ("New
Shares") on the Completion Date (as defined below).
Penyelesaian PPSBB tergantung pada pemenuhan atas
seluruh (atau dikesampingkan oleh Perseroan) kondisi
prasyarat oleh SMA yang paling lambat wajib dipenuhi
paling lambat pada tanggal 29 Desember 2023
(“Tanggal Penyelesaian”). Tanggal Penyelesaian
merupakan tanggal efektif dari transaksi Pembelian
Saham Baru SMA oleh Perseroan.
Completion of the CNSPA depends on the fulfillment of
all (or waived by the Company) prereguisite conditions
by the SMA which must be fulfilled no later than 29
December 2023 (“Completion Date”). The Completion
- Date is the effective date of the transaction for the
Purchase of New Shares of SMA by the Company.
Harga penyetoran untuk Saham Baru yang harus
dibayarkan oleh Perseroan kepada SMA adalah sebesar-
besarnya Rp140.000.000.000,- (Seratus Empat Puluh
Milyar Rupiah) (“Harga Penyetoran”), yang akan
dibayarkan penuh pada Tanggal Penyelesaian.

Batu Jajar No.37, Lantai 5, Jakarta Pusat 10120-INDONESIA Telp. : (62-21) 3521669 The payment price for New Shares that must be paid by the Company to SMA is @ maximum of IDR140,000,000,000 (One Hundred and Forty Billion Rupiah) (“Payment Price”), which will be paid in full on the Completion Date. 4. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan Operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of such events, information, or material facts on the operational activities, legal and Jinancial conditions, or business continuity of the Issuer or Public Company Dengan ditandatanganinya PPSBB dapat dianggap sebagai komitmen Perseroan dalam melakukan Pembelian Saham Baru SMA oleh Perseroan. The signing of the CNSPA can be considered as the Company's commitment to Purchase New Shares of SMA by the Company. 5. | Keterangan lain-lain / Other information Dalam hal penyelesaian tidak dapat dilakukan pada Tanggal Penyelesaian yang bukan diakibatkan oleh kesalahan Perseroan, maka rencana transaksi dan PPSBB menjadi berakhir. In the event that the completion cannot be done on the Completion Date which is not due to the Company's Jault, the transaction plan and the CNSPA will end. Tidak terdapat informasi/fakta/kejadian penting lainnya yang material yang dapat mempengaruhi harga efek Perseroan serta kelangsungan usaha Perseroan yang belum diungkapkan kepada publik. There are no other material informationfacts important events that could affect the price of the Company's securities and the continuity of the Company 's business that has not been disclosed to the public.
