Uraian Informasi atau Fakta Material Berdasarkan Akta Jual Beli No. 06 dan 07 keduanya
tertanggal 11 September 2023, yang dibuat dihadapan Notaris
Devi Yanti, S.H., M.Kn., salah satu entitas anak yang dimiliki
oleh Perseroan, yaitu PT Prima Mineral Investindo (PMI)
melakukan transaksi pembelian/akuisisi saham (Transaksi)
sebanyak 85% (delapan puluh lima persen) dari jumlah
seluruh saham yang telah dikeluarkan di dalam PT Silika Salut
Jaya, suatu perseroan terbatas yang didirikan menurut dan
berdasarkan hukum Indonesia, berkedudukan di Jakarta Barat
(SSJ).
SSJ saat ini sedang dalam proses akhir untuk memperoleh
persetujuan dari Menteri Energi dan Sumber Daya Mineral,
untuk penerbitan Izin Usaha Pertambangan Eksplorasi (IUP
Eksplorasi) pasir silika di Kutai, Kartanegara, Kalimantan
Timur, untuk wilayah kerja seluas 461,49 Ha.
Setelah dilakukannya Transaksi, maka PMI akan menjadi
pemegang saham pengendali baru di dalam SSJ.
Transaksi pembelian saham SSJ dilakukan dengan para
pemegang saham SSJ yang tidak terafiliasi dengan
Perseroan, pemegang saham utama Perseroan, Direksi,
maupun Dewan Komisaris Perseroan.
Sesuai dengan tujuan awal pembentukannya, PMI nantinya
akan menjadi salah satu entitas anak Perseroan yang
bertindak sebagai holding dari perusahaan-perusahaan yang
bergerak di bidang tambang mineral lainnya, dalam hal ini
pasir silika/kuarsa.

Acquisition of a company which is considered as the purchase
Type of Material Information or Facts of important asset
Description of Material Information or Based on Deed of Sale and Purchase No. 06 and 07, both
Facts dated 11 September 2023, made before Notary Devi Yanti,
S.H., M.Kn., one of the subsidiaries of the Company, namely,
PT Prima Mineral Investindo (PMI) have acquired shares (the
Transaction) in the total 85% (eighty five percent) of the total
shares issued in PT Silika Salut Jaya, a limited liability
company established under the laws of Indonesia, domiciled in
West Jakarta (SSJ).
SSJ is currently in the final process to obtain the approval from
the Ministry of Energy and Mineral Resources, for the issuance
of an Exploration Mining Business License (IUP Exploration)
for silica sand located at Kutai, Kartanegara, East Kalimantan,
with a total working area of 461,49 Ha.
After the Transaction, PMI will become a new controlling
shareholder of SSJ.
The acquisition of shares in SSJ was made with the existing
shareholders of SSJ who do not have any affiliate relationship
with the Company, the main shareholder of the Company, any
members of the Board of Directors, nor the Board of
Commissioners of the Company.
In line with the objective of its establishment, PMI will become
one of the Company s subsidiaries which will become a
holding company for mining companies of other minerals, in
this matter, silica sand.
