Uraian Informasi atau Fakta Material PT Visionet Data Internasional (VDI) dan PT CIMB NiagaTbk
(Bank) telah menandatangani Akta Perjanjian Kredit No. 11
tanggal 06 September 2023, yang dibuat di hadapan Lia
Amalia, S.H., M.Kn., Notaris di Jakarta Selatan, dengan
perincian sebagai berikut :
a. Nilai fasilitas : sebesar Rp165.000.000.000,00 (seratus
enam puluh lima miliar Rupiah), yang terdiri dari:
i. Fasilitas Pinjaman Investasi (PI) sebesar
Rp150.000.000.000,00 (seratus lima puluh miliar Rupiah); dan
ii. Fasilitas Bank Garansi (BG) sebesar Rp15.000.000.000,00
(lima belas miliar Rupiah);
b. Jangka waktu fasilitas : 66 (enam puluh enam) bulan
terhitung sejak tanggal penandatanganan Akta
Perjanjian Kredit No. 11 tanggal 06 September 2023;
c. Tujuan : penambahan aset tetap untuk menunjang kegiatan
usaha VDI; dan
d. Agunan : Jaminan fidusia atas barang persediaan dan/atau
piutang dagang VDI yang dibiayai dengan Fasilitas PI, sebesar
125% (seratus dua puluh lima persen) dari jumlah total

Dampak kejadian, informasi atau fakta Pelaksanaan transaksi tersebut tidak memiliki dampak material
material tersebut terhadap kegiatan terhadap kegiatan operasional, hukum, kondisi keuangan, dan

Transaksi ini merupakan Transaksi Material sebagaimana didefinisikan dalam Pasal 11 butir b. dan c. Peraturan OJK
Nomor 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha ( POJK 17/2020 ), di mana
Perseroan tidak wajib menggunakan Penilai sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf a. POJK 17/2020 dan
memperoleh persetujuan RUPS sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf d. POJK 17/2020, namun,
Perseroan tetap wajib mengumumkan Keterbukaan Informasi sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf b.
dan c., serta ayat (3) huruf a. POJK 17/2020, di mana pengumuman dan penyampaian keterbukaan informasi paling
lambat 2 (dua) hari kerja setelah tanggal Transaksi Material.
Keterbukaan Informasi atau Fakta Material ini merujuk pada Pasal 2 ayat (1), (2), dan (3) Peraturan OJK Nomor
31/POJK.04/2015 tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik, di
mana penyampaian laporan dan pengumuman dilakukan sesegera mungkin paling lambat pada akhir hari kerja ke-2
(kedua) setelah terdapatnya Informasi atau Fakta Material

Loan Facility from PT Bank CIMB Niaga Tbk to PT Visionet
Type of Material Information or Facts Data Internasional, a subsidiary of the Company
Description of Material Information or PT Visionet Data Internasional (VDI) and PT CIMB Niaga Tbk
Facts (Bank) have signed the Deed of Credit Agreement No. 11
dated September 06th, 2023, made before Lia Amalia, S.H.,
M.Kn., Notary in South Jakarta, with the following details :
a. Loan Facility of Rp 165,000,000,000.00 (one hundred and
sixty-five billion Rupiah), which consists of :
i. Investment Loan Facility (PI) of Rp 150,000,000,000.00 (one
hundred and fifty billion Rupiah); and
ii. Bank Guarantee Facility (BG) of Rp 15,000,000,000.00
(fifteen billion Rupiah);
b. Term: 66 (sixty-six) months as of the signing date of Deed of
Credit Agreement No. 11 dated September 06th, 2023;
c. Purpose: increasing fixed assets to support VDI's business
activities;
d. Collateral: Fiduciary guarantee for VDI's inventories and/or
receivables financed by the PI Facility, in the amount of 125%
(one hundred and twenty five percent) of the total PI Facility

Other Information
This transaction is a Material Transaction as defined in Article 11 point b. and c. of Regulation of OJK Number
17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities ( POJK 17/2020 ), where
the Company is not obliged to use an Appraiser as referred in Article 6 paragraph (1) a. of POJK 17/2020 and
obtains approval from GMS as referred to in Article 6 paragraph (1) d. of POJK 17/2020, however, the Company is
still obliged to announce the Disclosure of Information as referred to in Article 6 paragraph (1) letter b. and c., as
well as paragraph (3) letter a. of POJK 17/2020, where the announcement and disclosure of information submission

at the latest two (2) working days after the date of Material Transaction.
This Disclosure on Material Information or Facts refers to Article 2 paragraphs (1), (2), and (3) of Regulation of OJK
Number 31/POJK.40/2015 concerning Disclosure on Material Information or Facts by Issuers or Public Companies,
where the announcement or report submission shall be conducted as soon as possible at the latest, no later than
the end of the second (2nd) working day after the existence of Material Information or Facts.
