periferal industri peralatan transmisi telekomunikasi. Kegiatan
usaha Perseroan yang telah dijalankan adalah konsultasi,
integrasi. dan pengelolaan teknologi informasi I Engage in the

wholesale, software wholesale, and other inJormation technology
goods and all supportingfacilities. Also operating the business in
computer industry and peripherals industry of the

business activities thet have been implemented are consultation,

Facts from PT BankClMB Niaga Tbk (the "Bank") to subsidiary of the Company,
PT Visionet Dala lnternasional ("VDI").
J Uraian Intbrmasi atau Fakta VDI dan Bank telah menandatangani Akta Perjanjian Kredit No. I I tanggal
Material I Descriplion on the 06 September 2023. yang dibuat di hadapan Lia Amalia. S.H.. M.Kn..
Material lnformation or Facts Notaris di Jakarta Selatan. dengan perincian sebagai berikut :
a. Nilai tasilitas : sebesar Rp165.000.000.000.00 (seratus enam puluh lima
miliar Rupiah), yang terdiri dari:
l. Fasilitas Pinjaman Investasi (PI) sebesar
Rp150.000.000.000,00 (seratus Iima puluh miliar Rupiah)
("Fasilitas PI"); dan
It. Fasilitas Bank Garansi (BG) sebesar Rp15.000.000.000,00
(lima belas miliar Rupiah);
b. Jangka waktu fasilitas : 66 (enam puluh enam) bulan terhitung sejak
tanggal penandatanganan Akta Perjanjian Kredit No. I I tanggal 06
September 2023;
c. Tujuan : penambahan aset tetap untuk menunjang kegiatan usaha VDI;
dan
d. Agunan : Jaminan fidusia atas barang persediaan dan/atau piutang
dagang VDI yang dibiayai dengan Fasilitas PI, sebesar 125% (seratus
dua puluh lima persen) dari jumlah total Fasilitas PI.
VDI and the Bank have signed the Deed of Credit Agreement No. I I dated
September 06'h,2023, made before Lia Amalia, 5.H., M.Kn., Notary in South
Jakarta, with thefollowing details :
a. Loan facility of Rp165,000,000,000.00 (one hundred and sixty-five
billion Rupiah), which consists of:
t. Investment Loan Facility (Pl) of Rp150,000,000,000.00 (one
hundred andfifty billion Rupiah) ("PI Facility"): and
u. Bank Guarantee Facility (BG) of Rp15,000,000,000.00 ffieen
billion Rupiah);
b. Term: sixty-six (66) months as of the signing date of Deed of Credit
Agreement No. I I dated September 06th, 2023;
c. Purpose: increasingfixed assets to support VDI's business activities:
d. Collateral: Fiduciary guarantee for VDI's inventories and/or
receivablesfinanced by the Pl Facility, in the amounl of one hundred

5 Keterangan lain-lain I Other Transaksi ini merupakan Transaksi Material sebagaimana didefinisikan

tentang Transaksi Material dan Perubahan Kegiatan Usaha ("POJK
1712020"). di mana Perseroan tidak wajib menggunakan Penilai
sebagaimana dimaksud dalam Pasal 6 ayat ( I ) huruf a. POJK 1712020 dan
memperoleh persetujuan RUPS sebagaimana dimaksud dalam Pasal 6 ayat
(l) huruf d. POJK 1712020. namun. Perseroan tetap wajib mengumumkan
Keterbukaan Informasi sebagaimana dimaksud dalam Pasal 6 ayat ( I ) huruf
b. dan c., serta ayat (3) huruf a. POJK 1712020, di mana pengumuman dan
penyampaian keterbukaan informasi paling lambat 2 (dua) hari kerja setelah
tanggal Transaksi Material.
Keterbukaan Informasi atau Fakta Material ini merujuk pada Pasal 2 ayat
(I ). (2), dan (3) Peraturan OJK Nomor 31lPOJK.04l20l5 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik. di mana penyampaian laporan dan pengumuman
dilakukan sesegera mungkin paling lambat pada akhir hari kerja ke-2
(kedua) setelah terdapatnya Informasi atau Fakta Material.

and c. of Regulation of OJK Number |7/POJK.01/2020 concerning
Material Transactions and Chonges in Business Activities (" POJK
17/2020"), where the Company is not obliged to use an Appraiser as
referred in Article 6 paragraph (l) a. of POJK 17/2020 and obtains
approval from GMS as referred to in Article 6 paragraph (l) d. of POJK
l7/2020, hov,ever, the Company is still obliged to announce lhe Disclosure
of lnformation as referred to in Article 6 paragraph (l) lelter b. and c., as
well as paragraph (3) letter a. of POJK l7/2020, where the announcemenl
and disclosure of in/ormation submission at the latest two (2) working days
after the date of Malerial Transaclion.
This Disclosure on Material Information or Facts refers to Article 2
paragraphs (l), (2), and (3) of Regulation of OJK Number
3 I /POJK.10/20 I 5 concerning Disclosure on A4aterial Information or Facts
by Issuers or Public Companies, where the announcement or report
submission shall be conducted as soon as possible at the latest, no later than
the end of the second (2nd) working day after the existence of Material
