Penerima Manfaat Akhir dari Kepemilikan Saham
1. Penerima Manfaat:
Peraturan Bursa Efek Indonesia Nomor I-E mewajibkan Perseroan menyampaikan informasi
mengenai nama penerima manfaat akhir (ultimate beneficial ownership) Perseroan.
Merujuk pada ketentuan mengenai pemilik manfaat sebagaimana diatur dalam Peraturan Presiden
Republik Indonesia No. 13 Tahun 2018 (“Perpres”) dan peraturan pelaksananya:
a. Tidak terdapat individu yang memenuhi kriteria pemilik manfaat Perseroan sebagaimana diatur
dalam Perpres, berdasarkan informasi yang ada pada Perseroan.
b. Namun demikian, semata-mata untuk memenuhi ketentuan Pasal 3 ayat (1) Perpres (bukan
untuk keperluan lainnya, termasuk perpajakan), maka pemilik manfaat Perseroan adalah John
Witt dalam kedudukannya sebagai Group Managing Director Jardine Matheson Holdings Limited
(“Jardine Matheson”), dimana Jardine Matheson mengendalikan Perseroan secara tidak
langsung melalui kepemilikan saham JMH INVESTMENTS LIMITED, Mulgrave Corporation B.V.
("Mulgrave") dan The Dairy Farm Company Limited ("DFCL") serta melalui beberapa entitas
perantara sebagaimana diuraikan dalam Struktur Perseroan sebagaimana yang Perseroan
sajikan dalam Laporan Tahunan Perseroan 2022 pada halaman 64,
http://www.hero.co.id/investor/report#annual. Sebagaimana dimaksud pada Pasal 4 ayat (1)
butir g Perpres, yakni Jardine Matheson merupakan pemilik sebenarnya dari dana atas
kepemilikan saham Perseroan.
2. Lain-lain:
Angka 332.583.152 yang disebutkan pada Bagian “Informasi Saham Free Float”, Kolom “Jumlah
Saham Bulan Ini” adalah mengacu pada:
a. definisi Saham Free Float sebagaimana diatur dalam Peraturan Bursa Efek Indonesia No. I-A,
yaitu Saham Free Float adalah saham yang:
i. dimiliki oleh pemegang saham kurang dari 5% (lima perseratus) dari seluruh saham
tercatat;
ii. bukan dimiliki oleh Pengendali dan Afiliasi dari perusahaan;
iii. bukan dimiliki oleh anggota Dewan Komisaris atau anggota Direksi; dan
iv. bukan saham yang telah dibeli kembali oleh perusahaan.
b. penjelasan Bursa yang menginformasikan bahwa Saham Free Float hanya mencakup saham
tanpa warkat (scripless).

Actual Beneficiaries of Share Ownership
1. Beneficial Owner:
Indonesia Stock Exchange Regulation Number I-E requires the Company to submit information
regarding the name of the ultimate beneficial ownership of the Company.
Referring to the provision regarding beneficial owner as stipulated in Presidential Regulation of the
Republic of Indonesia Number 13 Year 2018 ("Presidential Regulation") and its implementing
regulation:
a. There are no individuals who meet the criteria for the beneficial owner of the Company as
stipulated in the Presidential Regulation, based on the information available to the Company.
b. However, solely to comply to the provisions of Article 3 paragraph (1) of the Presidential
Regulation (not for other purposes, including taxation), the beneficial owner of the Company is
John Witt in his position as Group Managing Director of Jardine Matheson Holdings Limited
("Jardine Matheson"), where Jardine controls the Company indirectly through share ownership
of JMH INVESTMENTS LIMITED, Mulgrave Corporation B.V. ("Mulgrave") and The Dairy Farm
Company Limited ("DFCL") as well as through several intermediary entities as described in the
Company Structure as presented in the Company's 2022 Annual Report on page 64,
http://www.hero.co.id/investor/report#annual. As referred to in Article 4 paragraph (1) point g
of the Presidential Regulation, namely Jardine Matheson is the real owner of the fund of the
share ownership of the Company.
2. Others:
The number 332,583,152 as stipulated in Section “Information on Free Float Shares”, Sub Section
“Total Shares as at this Month” is referred to:
a. definition of Free Float Shares under IDX Rule No. I-A, i.e. Free Float Shares are shares which are:
i. owned by shareholders which are less than 5% (five percent) of the total listed shares;
ii. not owned by the Controlling Shareholders and Affiliates of the company;
iii. not owned by the members of the board of commissioners or members of the board of
directors; and
iv. not treasury stock (buy-backed shares) of the company.
b. explanation from IDX which informs that Free Float Shares only include scripless shares.
