Uraian Informasi atau Fakta Material Perseroan mendirikan perusahaan patungan melalui PT MCS
Internasional, anak usaha Perseroan, mendirikan PT McMOL
Crewing International, bersama dengan Mitsui O.S.K. Lines
Ltd., suatu perseroan yang didirikan berdasarkan hukum
negara Jepang.
Pihak-pihak yang bertransaksi yaitu:
a. PT MCS Internasional merupakan entitas anak
Perseroan dan perusahaan terkendali Perseroan dengan
kepemilikan langsung sebanyak 99,9% (sembilan puluh
sembilan koma sembilan persen) saham; dan
b. Mitsui O.S.K Lines, Ltd., suatu perseroan yang
didirikan berdasarkan hukum negara Jepang dan bukan afiliasi
dari Perseroan.
Sifat hubungan dari Para Pihak yang bertransaksi adalah tidak
terafiliasi
Nilai transaksi pendirian usaha patungan tersebut yaitu MCSI
melakukan penyertaan modal pada PT McMOL Crewing
International sebesar Rp9.792.000.000,00 (sembilan miliar
tujuh ratus sembilan puluh dua juta Rupiah).
Tujuan transaksi yaitu memperluas kegiatan usaha entitas
anak usaha Perseroan sebagai penyedia awak kapal
khususnya kapal LNG kepada Grup MOL dan Grup Perseroan
dengan awak kapal yang berkualifikasi dan menjalankan
semua aktivitas yang berkaitan dengan keagenan awak kapal
LNG.

Description of Material Information or The company established a joint venture through PT MCS
Facts International, a subsidiary of the company, to establish PT
McMOL Crewing International, together with Mitsui O.S.K.
Lines Ltd., a company established under the laws of Japan.
The parties to the transaction are:
a. PT MCS International is a subsidiary of the company and a
controlled company of the company with direct ownership of
99.9% (ninety-nine point nine percent) shares; and
b. Mitsui O.S.K. Lines, Ltd., a company established under the
laws of Japan and not an affiliate of the company.
The nature of the relationship between the parties to the
transaction is unaffiliated.
The transaction value of the establishment of the joint venture
is MCSI investing in PT McMOL Crewing International,
amounting to Rp9,792,000,000.00 (nine billion seven hundred
ninety-two million Rupiah).
The purpose of the transaction is to expand the business
activities of the company's subsidiary as a provider of crew,
especially LNG vessels, to the MOL Group and the Company
Group with qualified crew and carry out all activities related to
the agency of LNG crew.
