In order to comply with the Financial Services Authority Regulation Number 31/POJK.04/2015
concerning the Disclosure of Information or Material Facts by Issuer or Public Companies and any
other Financial Services Authority Regulation witch relevant, included but not limited to the
Financial Services Authority Regulation Number 42/P QJK. 04/2020 concerning Affiliated
Transactions and Conflicts of Interest Transactions and Financial Services Authority Regulation
Number 37/POJK,03/2019 concerning Transparency and Publication of Bank Reports, for and on
behalf of PT Bank Negara Indonesia (Persero) Tbk (the Company"), submit an Affiliated

Types of Material Submission of reports /information regarding to the implementation of
Information or Facts additional capital by the Company to PT BNI Multifinance ("BNl MF)
which is an affiliated party of the Company.
Uraian Informasi Pada tanggal 21 Agustus 2023, Perseroan telah melaksanakan
atau Fakta Material penambahan modal sebesar Rp400.000.000.000,- (empat ratus miliar
rupiah) kepada BNI MF, yang dimaksudkan untuk memperkuat
permodalan BNI ME dan mendukung transformasi yang tengah
dilakukan oleh BNI ME untuk berfokus pada segmen konsumer.
Setelah pelaksanaan penambahan modal dimaksud, kepemilikan
saham Perseroan di BNI MF meningkat menjadi sebesar 99,997% dan
sebelumnya sebesar 99,994%.
Di bawah midapat kami sampaikan komposisi pemegang saham BNI
ME setelah pelaksanaan penambahan modal

Transaksi ini merupakan transaksi afiliasi yang cukup dilaponkan
Adapun hubungan antara Perseroan dengan BNI ME adalah
Perseroan memiliki saham langsung atas BNI ME sebesar 99.994%
(sembilan puluh sembilan koma sembilan sembilan empat persen)
sehingga Perseroan merupakan pemegang saham utama BNI MF dan
mengendalikan BNI ME secara langsung.
Description of On August 21. 2023 the Company has implemented an additional
Material Information capital of lDP 400, 000, 000, 000 (four hundred billion rupiah) to BNI MF,
or Facts which is intended to strengthen the capital of BNI MF and support the
transformation that is being carried out by BNI MF to focus on the
segment consumer
After the disbursement of the additional capital, the Company share
ownership in BN/ MF increased to 99.997% from the previous
99.994%.

This transaction is an affiliate transaction that must be reported The
relationship between the Company and BNI MF is that the Company
has direct shares in BNI MF of 99.994% (ninety-nine point nine nine
four percent) so that the Company is the main shareholder of BNI MF
and controls BNI MF directly.
4 Dampak terhadap ; Penambahan modal BNI MF akan memberikan dampak positif
Kegiatan terhadap kinerja konsohdasi yang diperoleh dan peningkatan bisnis
Operasional, Hukum, BNI MF dan melengkapi Iayanan dari Group Perseroan.

5. Keterangan lain-lain : Penambahan modal tersebut telah memperoleh persetujuan dan
Otontas Jasa Keuangan berdasarkan Surat nomor SR-61/PB 21/2023
tanggal 9 Agustus 2023 dan telah dianggarkan dalam Rencana Bisnis
Perseroan Tahun 2023-2025.
Other Information
The additional capital plan has obtained approval from the Financial
Services Authority based on Letter number SR-61/PB 2 1/2023 dated
August 9. 2023, and has been budgeted for in the Company Business
Plan year 2023-2025
