Uraian Informasi atau Fakta Material Perseroan telah menandatangani Perjanjian Fasilitas (sebagai
penerima pinjaman dan pemberi jaminan) dengan The
Hongkong and Shanghai Banking Corporation Limited,
Singapore Branch pada tanggal 10 Maret 2026 (Perjanjian
Kredit) dengan rincian sebagai berikut:
a. Nilai pokok pinjaman:
USD 100.000.000 (seratus juta Dolar AS)
b. Tujuan pinjaman:
Fasilitas kredit dari The Hongkong and Shanghai Banking
Corporation Limited, Singapore Branch kepada Perseroan
dan/atau Medco Energi Global Pte. Ltd. diberikan dengan
tujuan untuk General Corporate Purposes..
c. Jatuh tempo Pinjaman :
60 (enam puluh) bulan sejak tanggal penandatanganan
Perjanjian Fasilitas.
Selain itu, pemberian jaminan oleh Perseroan dalam
Perjanjian Fasilitas merupakan suatu transaksi afiliasi
berdasarkan POJK No. 42. Namun, karena pemberian jaminan
tersebut dilakukan kepada bank selaku pemberi pinjaman atas
pinjaman yang diterima oleh Perseroan dan anak perusahaan
yang dikendalikan Perseroan, maka berdasarkan Pasal 6
POJK No. 42, Perseroan hanya diwajibkan untuk
melaporkannya kepada OJK.

Dampak kejadian, informasi atau fakta Tidak terdapat dampak khusus atas penyampaian
material tersebut terhadap kegiatan keterbukaan informasi ini, mengingat penyampaian
operasional, hukum, kondisi keuangan, keterbukaan informasi ini merupakan pemenuhan kewajiban
atau kelangsungan usaha Emiten atau keterbukaan informasi berdasarkan POJK No. 45 dan
Perusahaan Publik pemenuhan kewajiban pelaporan berdasarkan POJK No. 42.

Description of Material Information or The Company has signed a Facility Agreement (as borrower
Facts and guarantor) with The Hongkong and Shanghai Banking
Corporation Limited, Singapore Branch, dated 10 March 2026
(Facility Agreement), with the following details:
a. Total loan amount:
USD 100,000,000 (one hundred million United States Dolar)
b. Purpose of the loan:
The credit facility from The Hongkong and Shanghai Banking
Corporation Limited, Singapore Branch to the Company and/or
Medco Energi Global Pte. Ltd. is provided with the objective for
General Corporate Purposes.
c. Loan Maturity:
60 (sixty) months since the execution date of Facility
Agreement.
Further, the provision of guarantees by the Company in the
Facility Agreement is an affiliated transaction under POJK No.
42. However, since the guarantee is provided by the Company
to the bank as the lender, for loans obtained by the Company
and its controlled subsidiaries, the Company is only required to
report the transaction to the OJK in accordance with Article 6
of POJK No. 42.

Company’s operational activities, legal, the fulfillment of disclosure obligation under POJK No. 45 and
