Uraian Informasi atau Fakta Material 1. Tanggal Transaksi 22 Agustus 2023
2. Objek Transaksi PT Aman Bae Sentosa membuka
anak usaha yang juga dibidang Real Estat dengan nama PT
Aman Bae Berjaya.
Diharapakan dengan adanya PT Aman Bae Berjaya dapat
memperluas ekspansi dari usaha perseroan.
Dengan adanya Transaksi Afiliasi ini diharapkan ABB sebagai
anak perusahaan Perseroan dapat memaksimalkan kinerja
usahanya dan diharapkan dapat berkontribusi dan
memberikan nilai tambah bagi Perseroan sebagai pemegang
saham ABS.
3. Nilai Transaksi Modal Dasar Rp 10.000.000.000,-
(sepuluh milyar rupiah)
Modal Disetor Rp. 2.500.000.000,- (dua milyar lima ratus juta
rupiah)
Modal disetor PT Aman Bae Berjaya dibawah 20% dari
Ekuitas PT Aman Bae Sentosa.
Transaksi Afiliasi ini merupakan Transaksi Afiliasi yang
dikecualikan berdasarkan Pasal 6 ayat (1) huruf b POJK
42/2020, dimana 99,99% dari modal disetor ABS dimiliki oleh
Perseroan.
4. Pihak Yang Melakukan Transaksi
PT Aman Bae Sentosa yang merupakan anak dari PT
Armada Berjaya Trans Tbk,membuka anak perusahan dengan
nama PT Aman Bae Berjaya.
PT Aman Bae Berjaya memiliki bidang usaha yang sama
dengan PT ABS, yaitu pada bidang properti.
5. Sifat Hubungan Afiliasi Perseroan merupakan
pemegang saham dari ABS sebesar 99,99% dari modal
disetor ABS.
6. Keterangan lainnya Transaksi Afiliasi ini tidak
mengandung benturan kepentingan dan semua informasi telah
diungkapkan dalam laporan ini dan tidak mengandung
informasi yang menyesatkan.

2. Object of the Transaction PT Aman Bae Sentosa opened a
subsidiary which is also in the Real Estate sector under the
name PT Aman Bae Berjaya.
It is hoped that the existence of PT Aman Bae Berjaya can
expand the company's business expansion.
With this Affiliated Transaction, it is hoped that ABB as a
subsidiary of the Company can maximize its business
performance and is expected to contribute and provide added
value to the Company as a shareholder of ABS.
3. Authorized Capital Transaction Value of IDR
10,000,000,000,- (ten billion rupiah)
Paid-up Capital Rp. 2,500,000,000.- (two billion five hundred
million rupiah)
The paid-up capital of PT Aman Bae Berjaya is below 20% of
the Equity of PT Aman Bae Sentosa.
This Affiliated Transaction is an Excluded Affiliated Transaction
based on Article 6 paragraph (1) letter b POJK 42/2020, where
99.99% of ABS' paid-up capital is owned by the Company.
4. Parties Conducting Transactions
PT Aman Bae Sentosa, which is a subsidiary of PT Armada
Berjaya Trans Tbk, opened a subsidiary company named PT
Aman Bae Berjaya.
PT Aman Bae Berjaya has the same line of business as PT
ABS, namely in the property sector.
5. Nature of Affiliation Relations The Company is a
shareholder of ABS in the amount of 99.99% of ABS's paid-up
capital.
6. Other information This Affiliated Transaction does not
contain a conflict of interest and all information has been
disclosed in this report and does not contain misleading
information.
