Uraian Informasi atau Fakta Material Pada tanggal 17 Agustus 2023, anak-anak perusahaan
Perseroan, yaitu PT Solusi Mobilitas Indonesia (SMI), PT
Indika Energy Infrastructure (IEI) dan PT Ilectra Motor Group
(IMG), telah menandatangani perjanjian-perjanjian dengan
para investor yang terdiri dari Horizon Ventures, Alpha JWC III,
L.P. dan/atau afiliasinya, HH-CTBC Partnership. L.P., dan
Brama One Ventures Limited terkait rencana investasi mereka
di IMG (Rencana Transaksi).
Rencana Transaksi ini akan terdiri dari, antara lain,
peningkatan modal dalam IMG oleh SMI dan IEI serta
pemberian pinjaman yang dapat dikonversikan kepada IMG
oleh para investor, dengan jumlah mencapai USD45.000.000
(empat puluh lima juta Dolar Amerika Serikat) atau jumlah lain
yang setara dalam Rupiah.
Tanggal jatuh tempo dari pinjaman yang dapat dikonversikan
Rencana Transaksi ini adalah 19 Mei 2028, dan dapat
diperpanjang sampai dengan atau sebelum tanggal 19 Mei
2032.
Penyelesaian dari Rencana Transaksi masih bergantung pada
pemenuhan persyaratan oleh para pihak sebagaimana diatur
dalam perjanjian-perjanjian, persyaratan-persyaratan mana
ditargetkan untuk dipenuhi dalam 30 (tiga puluh) hari kalendar
setelah tanggal penandatanganan perjanjian-perjanjian.
Dampak kejadian, informasi atau fakta Rencana Transaksi dalam Perseroan selaras dengan strategi
material tersebut terhadap kegiatan diversifikasi Perseroan khususnya dalam rangka ekspansi
operasional, hukum, kondisi keuangan, sektor usaha kendaraan listrik dan menyediakan ekosistem
atau kelangsungan usaha Emiten atau kendaraan listrik yang komprehensif di Indonesia.

Agreement Signing Between Subsidiaries
Type of Material Information or Facts
Description of Material Information or On August 17, 2023, subsidiaries of the Company, being PT
Facts Solusi Mobilitas Indonesia (SMI), PT Indika
Energy Infrastructure (IEI) and PT Ilectra Motor Group (IMG),
signed agreements with investors namely Horizon Ventures,
Alpha JWC III, L.P. and/or its affiliates, HH-CTBC Partnership.
L.P. and Brama One Ventures Limited relating to their
proposed investments in IMG (Proposed Transaction).
The Proposed Transaction will consist of, among other
matters, capital increase in IMG by SMI and IEI as well as
convertible loan to IMG by the investors, all in aggregate
amount of USD45,000,000 (forty five million United States
Dollar) or its Rupiah equivalent amount.
The maturity date of the convertible loan under the Proposed
Transaction is May 19, 2028 and can be extended to any date
that is on or before May 19, 2032.
Completion of the Proposed Transaction remains subject to
the fulfilment of conditions by the parties as provided in the
agreements, which conditions are targeted to be fulfilled within
30 (thirty) calendar days following the date of the agreements.
Impact of event, material information or The Proposed Transaction is aligned with the diversification
facts towards Issuers or Public strategy of the Company specifically in expanding to the
Company’s operational activities, legal, business sector of electric two-wheelers and to provide a
financial condition, or going concern comprehensive electric vehicle ecosystem in Indonesia.
