Uraian Informasi atau Fakta Material Pada tanggal 15 Agustus 2023, UOB sebagai pemberi
pinjaman dan Protelindo, Iforte dan KIN sebagai peminjam
telah menandatangani Perjanjian Perubahan atas Perjanjian
Kredit No. 1009/08/2023 (Perjanjian Kredit atau Transaksi)
Para Pihak dalam Perjanjian Kredit telah sepakat untuk
meningkatkan nilai fasilitas kredit untuk masing-masing
peminjam dengan rincian sebagai berikut:
- Komitmen
Rp1.300.000.000.000 dan/atau nilai setara (ekuivalen) dalam
mata uang Dolar AS atau mata uang lain yang disetujui oleh
UOB, yang terbagi dalam:
1. Revolving Credit Facility yang dapat digunakan oleh
Protelindo, Iforte dan KIN dengan batas pemakaian sebagai
berikut:
- Untuk Protelindo, tidak melebihi Rp1.300.000.000.000,-
- Untuk Iforte, tidak melebihi Rp1.300.000.000.000,-
- Untuk KIN, tidak melebihi Rp500.000.000.000,-
2. Bank Garansi sebesar Rp500.000.000.000,- dengan batas
pemakaian sebagai berikut:
- Untuk Protelindo, tidak melebihi Rp500.000.000.000,-
- Untuk Iforte, tidak melebihi Rp500.000.000.000,-
- Untuk KIN, tidak melebihi Rp300.000.000.000,-
-Tujuan pinjaman
(a) Revolving Credit Facility : untuk kebutuhan modal kerja
dan/atau tujuan umum perusahaan Protelindo, Iforte dan KIN
(b) Bank Garansi : untuk menjamin kinerja Protelindo, Iforte
dan KIN sehubungan dengan kontrak atau proyek.
-Tanggal Jatuh Tempo Akhir: 23 Februari 2024
- Hukum yang berlaku : Hukum Indonesia
1. Penandatanganan Transaksi di atas bukan merupakan
transaksi benturan kepentingan sebagaimana dimaksud dalam
Peraturan OJK No. 42 Tahun 2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (POJK 42)
2. Transaksi tersebut di atas bukan merupakan transaksi
material sebagaimana dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha Perseroan
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Signing of Amendment of Credit Agreement between

Description of Material Information or on August 15, 2023, UOB as the lender and Protelindo, Iforte
Facts and KIN as the borrowers have signed the Amendment of
Credit Agreement No: 1009/08/2023 (Credit Agreement or
Transaction).
The parties to the Credit Agrement have agreed to increase
the credit facility limits which are available for each Borrower
with the following details:
- Commitment:
IDR1.300,000,000,000 or its equivalent in United States Dollar
or other currencies approved by UOB which is divided into:
1. Revolving Loan Credit Facility which is available for
Protelindo, Iforte, and KIN with the following sub-limits:
- For Protelindo, shall not exceed IDR1,300,000,000,000;
- For Iforte, shall not exceed IDR1,300,000,000,000; and;
- For KIN, shall not exceed IDR500,000,000,000.
2. Bank guarantee facility of IDR500,000,000,000 with the
following sub-limits:
- For Protelindo, shall not exceed IDR500,000,000,000;
- For Iforte, shall not exceed IDR500,000,000,000; and
- For KIN, shall not exceed IDR300,000,000,000.
-Purpose of loan:
(a) Revolving Credit Facility : for working capital and/or general
corporate purposes of Protelindo, Iforte and KIN.
(b) Bank Garansi : for guarantee performance of Protelindo,
Iforte and KIN in relation to the contracts or projects.
- Final Maturity Date: February 23, 2024
- Governing Laws: Law of Indonesia
1. The execution of the Transaction is not a conflict-of-interest
transaction of the Company as referred to OJK Regulation No.
42 of 2022 regarding the Affiliated Transaction and Conflict of
Interest Transaction (OJK Rule 42).
2. The Transaction is not a material transaction as referred to
the OJK Regulation No. 17/POJK.04/2020 on Material
Transactions and Change of Business Activities.
