Uraian Informasi atau Fakta Material Pada tanggal 15 Agustus 2023 ("Tanggal Penyelesaian"), PT
ALSOK BASS Indonesia Security Service ("ALSOK") telah
menyelesaiakan pengambilalihan atas ("Pengambilalihan") :
(a) 105.750.000 saham di Peseroan milik PT Puragraha
Dianpertiwi yang mewakili 15,93% dari modal ditempatkan dan
disetor Perseroan;
(b) 149.249.900 saham di Peseroan milik PT Nusantara
Suryamukti yang mewakili 22,48% dari modal ditempatkan dan
disetor Perseroan; dan
(c) 85.000.100 saham di Peseroan milik PT Inlife yang
mewakili 12,80% dari modal ditempatkan dan disetor
Perseroan,
dimana seluruhnya merupakan 340.000.000 saham yang
merupakan 51,21% dari modal ditempatkan dan disetor
Perseroan (berdasarkan laporan bulanan registrasi pemegang
efek pada tanggal 31 Juli 2023).
Sejak Tanggal Penyelesaian, ALSOK telah secara efektif
menjadi pengendali Perseroan sebagaimana dimaksud dalam
Peraturan Otoritas Jasa Keuangan Nomor 9/POJK.04/2018
tentang Pengambilalihan Perusahaan Terbuka.
Dampak kejadian, informasi atau fakta Informasi dan fakta material tersebut di atas tidak
material tersebut terhadap kegiatan menghambat kegiatan operasional, hukum, kondisi keuangan
operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan dan tidak akan
atau kelangsungan usaha Emiten atau mengurangi hak-hak pemegang saham Perseroan.

Description of Material Information or On 15 August 2023 ("Completion Date"), PT ALSOK BASS
Facts Indonesia Security Service ("ALSOK") has completed the
acquisition of ("Acquisition"):
(a) 105,750,000 shares in the Company owned by PT
Puragraha Dianpertiwi which represents 15.93% of the total
issued and paid-up capital of the Company;
(b) 149,249,900 shares in the Company owned by PT
Nusantara Suryamukti which represents 22.48% of the total
issued and paid-up capital of the Company; and
(c) 85,000,100 shares in the Company owned by PT Inlife
which represents 12.80% of the total issued and paid-up
capital of the Company,
which in total constituted 340,000,000 share which represent
51.21% of the total issued and paid-up capital of the Company
(based on the monthly report of securities holders registration
as of 31 July 2023).
Since the Completion Date, ALSOK has effectively become
the controller of the Company as referred to in the Financial
Service Authority Regulation No. 9/POJK.04/2018 on the
Acquisition of Public Company.
