2. Objek Transaksi Latar belakang dilakukan Transaksi
Afiliasi dengan PT Aman Bae Sentosa (ABS) adalah terkait
dengan kebutuhan modal kerja dan untuk meningkatkan
kinerja dan performa PT Aman Bae Sentosa kedepan.
Dengan adanya Transaksi Afiliasi ini diharapkan ABS sebagai
anak perusahaan Perseroan dapat memaksimalkan kinerja
usahanya dan diharapkan dapat berkontribusi dan
memberikan nilai tambah bagi Perseroan sebagai pemegang
saham ABS.
3. Nilai Transaksi Nilai Transaksi sebesar Rp
13.754.999.000
Transaksi Afiliasi ini merupakan Transaksi Afiliasi yang
dikecualikan berdasarkan Pasal 6 ayat (1) huruf b POJK
42/2020, dimana 99,99% dari modal disetor ABS dimiliki oleh
Perseroan.
4. Pihak Yang Melakukan Transaksi
Perseroan akan melakukan konversi sebagian dari
total pinjaman yang diberikan kepada PT Aman Bae Sentosa
(ABS), yaitu sebesar Rp13.754.999.000,- (tiga belas miliar
tujuh ratus lima puluh empat juta sembilan ratus sembilan
puluh sembilan ribu Rupiah) menjadi setoran modal kepada
ABS.
Atas transaksi tersebut di atas, maka akan terdapat
peningkatan modal ditempatkan dan modal disetor dari
sebelumnya Rp11.245.001.000,- (sebelas miliar dua ratus
empat puluh lima juta seribu Rupiah), menjadi sebesar Rp25.
000.000.000,- (dua puluh lima miliar Rupiah), yang mana
Perseroan akan memiliki 249.990.990 lembar saham atau
setara dengan
Rp24.999.999.000 (dua puluh empat miliar sembilan ratus
sembilan puluh sembilan juta sembilan ratus sembilan puluh
sembilan ribu rupiah)
5. Sifat Hubungan Afiliasi Perseroan merupakan
pemegang saham dari ABS sebesar 99,99% dari modal
disetor ABS.
6. Keterangan lainnya Transaksi Afiliasi ini tidak
mengandung benturan kepentingan dan semua informasi telah
diungkapkan dalam laporan ini dan tidak mengandung
informasi yang menyesatkan.

2. Object of the Transaction The background of the Affiliated
Transaction with PT Aman Bae Sentosa (ABS) is related to
working capital needs and to improve the performance and
future performance of PT Aman Bae Sentosa.
With this Affiliated Transaction, it is hoped that ABS as a
subsidiary of the Company can maximize its business
performance and is expected to contribute and provide added
value to the Company as an ABS shareholder.
3. Transaction Value The Transaction Value is IDR
13,754,999,000
This Affiliated Transaction is an Excluded Affiliated Transaction
based on Article 6 paragraph (1) letter b POJK 42/2020, where
99.99% of ABS' paid-up capital is owned by the Company.
4. Parties Conducting Transactions
The company will convert a portion of the total loan granted to
PT Aman Bae Sentosa (ABS), which is IDR 13,754,999,000
(thirteen billion seven hundred fifty four million nine hundred
ninety nine thousand Rupiah) into capital injection to ABS.
For the above transactions, there will be an increase in issued
and paid-up capital from the previous IDR 11,245,001,000
(eleven billion two hundred forty five million one thousand
Rupiah) to IDR 25,000,000,000 (twenty five billion Rupiah), of
which the Company will own 249,990,990 shares or equivalent
IDR 24,999,999,000 (twenty four billion nine hundred ninety
nine million nine hundred ninety nine thousand rupiah)
5. Nature of Affiliation Relations The Company is a
shareholder of ABS in the amount of 99.99% of ABS's paid-up
capital.
6. Other information This Affiliated Transaction does not
contain a conflict of interest and all information has been
disclosed in this report and does not contain misleading
information.
