Uraian Informasi atau Fakta Material Pada tanggal 7 Juli 2023, anak-anak perusahaan Perseroan
yang secara langsung maupun tidak langsung dimiliki 100%
oleh Perseroan, yaitu PT Kalista Nusa Armada (KNA) dan PT
Solusi Mobilitas Indonesia (SMI), telah mendirikan perusahaan
yang bernama PT Kalista Rotom Orbita (KRO).
Pendirian KRO tersebut telah dinyatakan dalam Akta
Pendirian No. 10 tertanggal 7 Juli 2023 yang dibuat di
hadapan Ungke Mulawanti, SH., M.Kn., Notaris di Bekasi
(Akta Pendirian). Akta Pendirian tersebut pada saat ini sedang
dalam proses permohonan pengesahan badan hukum oleh
Menteri Hukum dan Hak Asasi Manusia Republik Indonesia.
KRO akan melakukan kegiatan usaha penyewaan kendaraan
listrik roda dua, perdagangan sepeda motor baru, bekas, suku
cadang dan aksesorinya, serta pengoperasian instalasi
penyediaan tenaga listrik.
Keterangan mengenai struktur kepemilikan modal KRO adalah
sebagai berikut:

SMI Rp1.000.000,- 0,007%
Total Rp15.000.000.000,- 100%
Dampak kejadian, informasi atau fakta Penyertaan saham KNA dan SMI dalam KRO merupakan
material tersebut terhadap kegiatan kelanjutan langkah Perseroan secara grup untuk melakukan
operasional, hukum, kondisi keuangan, ekspansi usaha di sektor kendaraan listrik, khususnya di pasar
atau kelangsungan usaha Emiten atau Business-to-Business di Indonesia.

Description of Material Information or On 7 July 2023, the Company's subsidiaries which are 100%
Facts directly and indirectly owned by the Company, namely PT
Kalista Nusa Armada (KNA) and PT Solusi Mobilitas Indonesia
(SMI), have established a company namely PT Kalista Rotom
Orbita (KRO).
Establishment of KRO had been stated through Deed of
Establishment No. 10 dated 7 July 2023, which was made
before Ungke Mulawanti, SH., M.Kn., Notary in Bekasi (Deed
of Establishment). Such Deed of Establishment is currently in
the submission process for obtaining ratification of legal entity
by the Ministry of Law and Human Rights of Republic of
Indonesia.
KRO will conduct business rental of electric two wheelers,
trading of new and used motorcycles, spare parts and its
accessories, as well as operation of electric supply installation.
Details of the shareholding structure of KRO are as follows:

Impact of event, material information or KNA and SMI's participation in KRO reflect the continuing

financial condition, or going concern Business market in Indonesia.
