5 Juni 2023 (“Perjanjian BBC”).
Bare Boat Charter owned by PT Pelayaran Korindo
(“Korindo”), which is 1 (one) unit New Stella
(“Vessel”), by PT Hutama Trans Kencana
(“MATRANS”), subsidiary of the Company, based
on Bare Boat Charter Agreement dated 5 June 2023
(“BBC Agreement”).

1. Uraian rangkaian transaksi penyewaan kapal ini
adalah penyewaan 1 (satu) unit Kapal milik
Korindo oleh MATRANS dengan skema sewa
guna usaha selama 5 (lima) tahun dan Kapal
mulai beroperasi dibawah MATRANS pada
tanggal 30 Juni 2023, dengan diberikan
opsi beli pada akhir periode sewa (“Bare Boat
Hire Purchase atau BBHP”), dimana
MATRANS akan membeli Kapal tersebut sesuai
dengan kondisi-kondisi sebagaimana tercantum
dalam Perjanjian BBC.
The description of this series of vessel leasing
transactions is the leasing of 1 (one) unit of
Vessel owned by Korindo by MATRANS under a
leasing scheme for 5 (five) years, and the Vessel
began operating under MATRANS on June 30,
2023, with a purchase option at the end of the
lease period ("Bare Boat Hire Purchase, or
BBHP"), where MATRANS will purchase the
Vessel in accordance with the conditions as
Stated in the BBC Agreement.
2. Jenis kapal yang disewa adalah 1 (satu) unit
kapal Oil and Chemical Tanker.
The type of vessel chartered is 1 (one) unit Oil
and Chemical Tanker.
3. Skema transaksi BBHP atas 1 (satu) unit Kapal
ini adalah sebagai berikut:
a. MATRANS membayar Prepaid Charter
sebesar USD1,600,000.00 (satu juta enam
ratus ribu dollar Amerika Serikat) kepada
Korindo, MATRANS harus melakukan
pembayaran ke-1 sebesar USD 1,400,000.00

(satu juta empat ratus ribu dollar Amerika Serikat) kepada Korindo dalam 1 (satu) hari perbankan sebelum pengiriman dan pembayaran ke-2 sebesar USD 200,000.00 (dua ratus ribu dollar Amerika Serikat) harus dibayar paling lambat pada tanggal 30 September 2023. b. Nilai sewa adalah sebesar USD 3,450.00 (tiga ribu empat ratus lima puluh dollar amerika serikat) per hari harus dibayar 1 (satu) bulan di muka selama 5 (lima) tahun. c. Opsi — Pembelian (opsional) sebesar USD1,600,000 (satu juta enam ratus ribu Dollar Amerika Serikat) dibayarkan pada saat masa sewa Kapal selesai. The BBHP transaction scheme for 1 (one) unit of this Vessel is as follows: a. MATRANS pays a Prepaid Charter of USD 1,600,000.00 (one million six hundred thousand United States dollars) to Korindo. MATRANS shall make the Ist payment of USD 1,400,000.00 (one million four hundred thousand United States dollars) to Korindo within I (one) banking day prior to delivery, and the 2nd payment of USD 200,000.00 (two hundred thousand United States dollars) shall be paid by September 30, 2023 at the latest. b. The charter value is USD 3,450.00 (three thousand four hundred and fifty US dollars) per day to be paid 1 (one) month in advance Jfor 5 (five) years. c. Purchase Option (optional) in the amount of' USD1,600,000 (one million six hundred thousand United States Dollars) payable upon completion of the Vessel's charter period. . Kencana merupakan entitas anak Perseroan dan
perusahaan terkendali Perseroan dengan
kepemilikan tidak langsung sebanyak 99,994
(sembilan puluh sembilan koma sembilan
persen) saham melalui anak perusahaan
Perseroan, yaitu PT PCS Internasional (“PCSI”),
dimana sebanyak 99,965 (sembilan puluh
sembilan koma sembilan persen) PCSI dimiliki
oleh PT Humpuss Maritim Internasional, entitas
anak Perseroan dan perusahaan terkendali dari
Perseroan sebanyak 89,998y6 (delapan puluh
sembilan koma sembilan ratus sembilan puluh
delapan persen).
The charterer of the Vessel, PT Hutama Trans
Kencana, is a subsidiary of the Company and a
controlled company of the Company with
indirect ownership of 99.946 (ninety-nine point
nine percent) shares through the Company's
subsidiary, PT PCS Internasional ("PCSI"),
where as much as 99.946 (ninety-nine point nine
percent) of PCSI is owned by PT Humpuss
Maritim Internasional, a subsidiary of the
Company and controlled companies of the
Company, as much as 8999846 (eighty-nine
point nine hundred ninety-eight percent).
4. | Dampak kejadian, informasi | 1. Transaksi di atas bukan merupakan Transaksi
atau fakta material tersebut Afiliasi sebagaimana didefinisikan di dalam
terhadap kegiatan operasional, Peraturan Otoritas Jasa Keuangan
hukum, kondisi Keuangan atau No. 42/POJK.04/2020 tentang Transaksi Afiliasi
kelangsungan usaha Emiten dan Benturan Kepentingan (“POJK 42”), karena

Berdasarkan nilai perolehan tersebut diatas, transaksi — tersebut '— bukan — merupakan Transaksi Material, sebagaimana didefinisikan di dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha (“POJK 42”), karena nilai skema transaksi BBHP tidak lebih dari 20Y6 nilai Ekuitas Perseroan (berdasarkan nilai yang tercantum dalam Laporan Keuangan Teraudit Perseroan untuk tahun buku 2022), Based on the acguisition value above, the transaction is not a Material Transaction, as defined in the Financial Services Authority Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities (“POJK 42”) because the BBHP's transaction value is not more than 2046 of the Company's Eguity value (based on the value stated in the Company's Audited Financial Statements for the 2022 financial year), .
