Pemeliharaan pembangkit listrik tenaga surya
antara Perseroan sebagai Pengguna Jasa dan PT
Power Kariangau (“PT PKK”) Kalimantan selaku
Penyedia Jasa, dimana PT MSE dan PT PKK juga
merupakan pihak terafiliasi — Perusahaan
(“Keterbukaan Informasi” ):
(a) Telah melalui prosedur yang memadai
untuk memastikan bahwa Transaksi Afiliasi
dilaksanakan sesuai dengan praktik bisnis
yang berlaku umum,
(b) Transaksi Afiliasi tidak mengandung
benturan kepentingan sebagaimana
dimaksud dalam Peraturan Otoritas Jasa
Keuangan No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan
Kepentingan: dan
(c) Seluruh informasi material — telah
diungkapkan dalam Keterbukaan
Informasi dan informasi tersebut tidak
menyesatkan.
STATEMENT LETTER OF THE BOARD OF
DIRECTORS OF PT BAYAN RESOURCES TBK
("Company")
The Board of Directors of the Company hereby
declares that the affiliated transaction
(“Affiliated Transaction") as described in the
Information Disclosure document prepared by
the Company in respect of (i) Rental of a 1,497
Kwp solar power plant located in Senyiur, East
Kalimantan between the Company as Lessee and
PT Metis Solar Energi (“PT MSE”) as Lessor and
(ii) Provision of solar power plant operation and
maintenance services between the Company as
Service User and PT Power Kariangau Kalimantan
(“PT PKK”) as Service Provider, where PT MSE
and PT PKK are affiliated parties of the Company
(“Information Disclosure"):
(a) — Has gone through adeguate procedures to
ensure that the Affiliated Transaction is
carried out in accordance with the
generally accepted business practices,
(b) The Affiliated Transaction does not contain
conflicts of interest as referred to in
Regulation of the Financial Services
Authority No. 42/POJK.04/2020 on
Affiliated Transactions and Conflict of
Interest Transactions, and
(c) All material information has been
disclosed in the Information Disclosure
and the information is not misleading.

Afiliasi”) sebagaimana diuraikan — dalam
dokumen Keterbukaan Informasi yang dibuat
oleh Perseroan terkait dengan transaksi (i) Sewa

antara Perseroan selaku Penyewa dan PT. Metis
