Uraian Informasi atau Fakta Material Penandatanganan Perjanjian Pengikatan Jual Beli Bersyarat
(PPJB Bersyarat) atas beberapa bidang tanah dengan luas
keseluruhan kurang lebih 7.135 m2 yang terletak di Jl.
Pangeran Antasari, Kelurahan Cipete Utara, Kecamatan
Kebayoran Baru, Kota Jakarta Selatan, Provinsi Daerah
Khusus Ibukota Jakarta (Properti), antara:
(i) PT Persada Mandiri Abadi (PMA), suatu perseroan
terbatas yang didirikan dan berdomisili hukum di Jakarta
Selatan, Indonesia, yang akan bertindak sebagai Penjual.
Bahwa, PMA merupakan anak perusahaan yang seluruh
sahamnya secara tidak langsung dimiliki oleh Perseroan;
dan
(ii) PT Tataka Karya Indah (TKI), suatu perseroan
terbatas yang didirikan dan berdomisili hukum di Bandung,
Indonesia, yang akan bertindak sebagai Pembeli.
Bahwa, TKI merupakan anak perusahaan PT Siloam
International Hospitals Tbk (SILO), suatu perusahaan terbuka
yang didirikan dan berdomisili hukum di Tangerang, Indonesia,
yang sahamnya dimiliki oleh Perseroan baik secara langsung
maupun tidak langsung sebesar 58,07%. Sehingga transaksi
ini merupakan transaksi afiliasi.
Dalam PPJB Bersyarat, para pihak telah menentukan harga
pembelian yang disepakati, yakni Rp306.805.000.000,00 (tiga
ratus enam miliar delapan ratus lima juta Rupiah) (belum
termasuk PPN), dengan ketentuan segala biaya perpajakan
yang timbul akan dibebankan kepada para pihak sesuai
keberlakuannya.

material tersebut terhadap kegiatan akan memperkuat neraca serta meningkatkan alur kas
operasional, hukum, kondisi keuangan, Perseroan.

Informasi Lain
Transaksi ini adalah transaksi afiliasi yang dikecualikan berdasarkan Pasal 8 Peraturan OJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan serta tidak mengandung benturan kepentingan.
Transaksi ini dikecualikan karena merupakan transaksi sehubungan dengan kegiatan usaha yang dijalankan dalam
rangka menghasilkan pendapatan usaha dan dijalankan secara rutin. Nilai keseluruhan Transaksi adalah lebih rendah
dari 20% (dua puluh persen) dari ekuitas Perseroan berdasarkan laporan keuangan terakhir Perseroan sebagaimana
diatur dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha ( POJK
No. 17/2020 ). Dengan demikian Transaksi ini bukan merupakan Transaksi Material sebagaimana dimaksud dalam
POJK No. 17/2020.
Bahwa, penyampaian dan/atau publikasi Keterbukaan Informasi ini turut merujuk kepada Keputusan Bersama Menteri
Agama, Menteri Ketenagakerjaan, dan Menteri Pendayagunaan Aparatur Negara dan Reformasi Birokrasi Nomor 624,
Nomor 2, Nomor 2 Tahun 2023 tentang Perubahan Kedua atas Keputusan Bersama Menteri Agama, Menteri
Ketenagakerjaan, dan Menteri Pendayagunaan Aparatur Negara dan Reformasi Birokrasi Nomor 1066 Tahun 2022,
Nomor 3 Tahun 2022, Nomor 3 Tahun 2022 tentang Hari Libur Nasional dan Cuti Bersama Tahun 2023 pada tanggal 16
Juni 2023.

Description of Material Information or The signing of the Conditional Sale and Purchase Agreement
Facts (CSPA) on the land with a total area of approximately 7,135
sqm located at Jl. Pangeran Antasari, Cipete Utara Village,
Kebayoran Baru District, South Jakarta, Province of DKI
Jakarta (the Property) by and between:
(i) PT Persada Mandiri Abadi (PMA), a limited liability
company established and having its legal domicile in South
Jakarta, Indonesia as the Seller.
Whereas, PMA is a wholly owned indirect subsidiary of the
Company.
and
(ii) PT Tataka Karya Indah (TKI), a limited liability
company established and having its legal domicile in Bandung,
Indonesia as the Seller.
Whereas, TKI is a subsidiary of PT Siloam International
Hospitals Tbk (SILO), a public limited liability company
established and having its legal domicile in Tangerang,
Indonesia, which 58.07% directly or indirectly owned by the
Company. Therefore, the transaction is an affiliated
transaction.
In the CSPA, the parties have determined an agreed purchase
price is Rp306,805,000,000 (three hundred six billion eight
hundred and five million Rupiah) (exclude VAT), provided that
all tax costs incurred will be charged to the parties according to
their applicability.

Other Information
Referring to Article 8 of OJK Regulation No. 42/POJK.04/2020 regarding Affiliated and Conflict of Interest
Transaction, this Transaction was deemed as an exempted affiliated transaction as well as not having any conflict
of interest. This transaction is exempted because this transaction is related to the business activities operated to
generate revenue and are operated in a routine. The total value of the Transaction is lower than 20% (twenty
percent) of the Company's equity based on the Company's latest financial statements as regulated in OJK
Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities ( OJK
Regulation No. 17/2020 ). Thus, this Transaction is not a Material Transaction as referred to in OJK Regulation No.
17/2020.
Whereas, the submission and/or publication of this Disclosure of Information also refers to the Joint Ministerial
Decree (SKB) of the Ministry of Religious Affairs (Kemenag), the Ministry of Manpower (Kemenaker), and the
Ministry of Administrative and Bureaucratic Reform (Kemenpan RB) Number 624, Number 2, Number 2 of 2023
concerning the Second Amendment to the Joint Decree of the Ministry of Religious Affairs, the Ministry of
Manpower and the Ministry of Administrative and Bureaucratic Reform Number 1066 of 2022, Number 3 of 2022,
Number 3 of 2022 concerning National Holidays and Joint Leave in 2023 on June 16, 2023.
