Uraian Informasi atau Fakta Material a. Perseroan melakukan transaksi pembelian saham PT
Green Scooter Indonesia, perseroan terbatas tertutup,
berkedudukan di Kota Bandung, bergerak di bidang Main
Dealer Motor Listrik Vinfast di Jawa Barat
b. Nilai pembelian saham sebesar 34% (tiga puluh empat
persen) dari seluruh modal ditempatkan dan disetor Perseroan
PT Green Scooter Indonesia.
c. Nilai Transaksi tidak melebihi 50% (lima puluh persen) dari
jumlah kekayaan bersih Perseroan dan berada di bawah 20%
(dua puluh persen) dari ekuitas Perseroan, sehingga tidak
melampaui batasan sebagaimana dimaksud dalam Pasal 16
ayat (10) Anggaran Dasar Perseroan dan tidak memenuhi
batasan nilai sebagaimana dimaksud dalam Pasal 3 Peraturan
Otoritas Jasa Keuangan Nomor 17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha, dengan
demikian kewajiban untuk menggunakan Penilai, melakukan
keterbukaan informasi, dan memperoleh persetujuan Rapat
Umum Pemegang Saham tidak timbul;
d. Bahwa setelah Transaksi terlaksana Perseroan tidak
menjadi pengendali PT Green Scooter Indonesia dan tidak
mempunyai kemampuan menentukan pengelolaan maupun
kebijakan perseroan tersebut, sehingga Transaksi tidak
mengakibatkan beralihnya pengendalian dan bukan
merupakan Pengambilalihan sebagaimana dimaksud dalam
Pasal 125 ayat (3) UUPT, sehingga ketentuan Pasal 125
sampai dengan Pasal 127 UUPT tidak berlaku atas Transaksi;
e. Bahwa tidak terdapat hubungan Afiliasi dalam Transaksi
sebagaimana dimaksud dalam Peraturan Otoritas Jasa
Keuangan Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan, dan tidak terdapat
benturan kepentingan pada diri anggota Direksi maupun
anggota Dewan Komisaris Perseroan;

Type of Material Information or Facts
Description of Material Information or a. The Company is executing a transaction to purchase shares
Facts in PT Green Scooter Indonesia, a private limited liability
company domiciled in Bandung City, which operates as the
Main Dealer for VinFast electric motorcycles in West Java.
b. The share purchase represents 34% (thirty-four percent) of
the total issued and paid-up capital of PT Green Scooter
Indonesia.
c. The Transaction value does not exceed 50% (fifty percent)
of the Companys net assets and is below 20% (twenty
percent) of the Companys equity; therefore, it does not
surpass the limits stipulated in Article 16 paragraph (10) of the
Companys Articles of Association, nor does it meet the value
thresholds defined in Article 3 of Financial Services Authority
Regulation Number 17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities.
Consequently, there is no obligation to engage an appraiser,
make public disclosures, or obtain approval from the General
Meeting of Shareholders.
d. Following the execution of the Transaction, the Company
will not become the controlling party of PT Green Scooter
Indonesia and will not possess the ability to determine the
management or policies of said company; thus, the
Transaction does not result in a transfer of control and does
not constitute an Acquisition as defined in Article 125
paragraph (3) of the Limited Liability Company Law (UUPT),
meaning the provisions of Articles 125 through 127 of the
UUPT do not apply to the Transaction.
e. There is no Affiliation relationship involved in the
Transaction as defined in Financial Services Authority
Regulation Number 42/POJK.04/2020 concerning Affiliated
Transactions and Conflict of Interest Transactions, and there is
no conflict of interest on the part of the members of the
Companys Board of Directors or Board of Commissioners.
