REIT selaku Penjual.
PT Megapratama Karya Bersama (“MKB”) merupakan entitas
anak yang dimiliki 99,99% secara langsung oleh Perseroan.
Purchase of material assets: Partial Completion of the First Stage
Transaction, which is a continuation of the Conditional Share Sale
and Purchase Agreement dated 1 April 2026 (as amended)
between the Company and MKB as the Purchasers and First REIT
subsidiaries as the Sellers.
PT Megapratama Karya Bersama (“MKB”) is a subsidiary directly
owned by the Company, with a 99.99% ownership interest.
Uraian Informasi atau Fakta Kami merujuk kepada: (i) Keterbukaan Informasi tanggal 14
Material Agustus 2026 dan Perubahan dan/atau Tambahan Keterbukaan
Description of Material Informasi tanggal 18 September 2026 (“Keterbukaan
Information or Facts Informasi”) dan (ii) persetujuan atas Rencana Transaksi
(sebagaimana yang didefinisikan dalam Keterbukaan Informasi)
dari Rapat Umum Pemegang Saham Luar Biasa Perseroan
(“RUPSLB”) yang diselenggarakan pada tanggal 22 September
2026.
Sebagaimana yang telah diungkapkan dalam Keterbukaan
Informasi, Perseroan berencana untuk melakukan Rencana
Transaksi berupa pengambilalihan atas saham pada 14 (empat
belas) perusahaan yang memiliki properti rumah sakit dari
entitas-entitas anak First REIT, yang akan dilakukan dalam dua
tahap, yaitu: (i) Transaksi Tahap Pertama berupa
pengambilalihan atas 8 (delapan) Perusahaan Sasaran Tahap
Pertama; dan (ii) Transaksi Tahap Kedua berupa
pengambilalihan atas 6 (enam) Perusahaan Sasaran Tahap
Kedua yang akan dilaksanakan apabila opsi jual yang diberikan
Perseroan berdasarkan Perjanjian Opsi Jual dilaksanakan oleh
pemegang opsi terkait.
Bersama ini kami sampaikan bahwa pada tanggal 24 September
2026, Perseroan dan MKB telah menyelesaikan pengambilalihan
atas 100% saham dalam 5 (lima) Perusahaan Sasaran Tahap
Pertama dari entitas anak First REIT, yakni sebagai berikut:
1. PT Sriwijaya Megah Abadi (“PT SMA”)
Perseroan dan MKB telah menyelesaikan pengambilalihan
atas 100% saham dalam PT SMA berdasarkan:
(a) Akta Pengambilalihan Saham No. 223, tanggal 24
September 2026, antara Perseroan (sebagai pembeli)
dan Sriwijaya Investment I Pte. Ltd. (sebagai penjual);
dan
(b) Akta Jual Beli Saham No. 224, tanggal 24 September
2026, antara MKB (sebagai pembeli) dan Sriwijaya
Investment II Pte. Ltd. (sebagai penjual);
yang keduanya dibuat di hadapan Jose Dima Satria, S.H.,

PT SMA memiliki properti rumah sakit yang dikenal dengan
Siloam Sriwijaya (Palembang), berlokasi di Jl. POM IX, Lorok
Pakjo, Ilir Barat Satu, Palembang, Sumatera Selatan,
Indonesia.
2. PT Eka Dasa Parinama (“PT EDP”)
Perseroan dan MKB telah menyelesaikan pengambilalihan
atas 100% saham dalam PT EDP berdasarkan:
(a) Akta Pengambilalihan Saham No. 231, tanggal 24
September 2026, antara Perseroan (sebagai pembeli)
dan Finura Investments Pte. Ltd. (sebagai penjual); dan
(b) Akta Jual Beli Saham No. 232, tanggal 24 September
2026, antara MKB (sebagai pembeli) dan Glamis
Investments Pte. Ltd. (sebagai penjual);
yang keduanya dibuat di hadapan Jose Dima Satria, S.H.,
M.Kn., Notaris di Kota Administrasi Jakarta Selatan.
PT EDP memiliki properti rumah sakit yang dikenal dengan
Siloam Hospitals Purwakarta, berlokasi di Jl. Raya Cibeuning
Bungursari No. 1, Cibening, Purwakarta, Jawa Barat,
Indonesia.
3. PT Dasa Graha Jaya (“PT DGJ”)
Perseroan dan MKB telah menyelesaikan pengambilalihan
atas 100% saham dalam PT DGJ berdasarkan:
(a) Akta Pengambilalihan Saham No. 226, tanggal 24
September 2026, antara Perseroan (sebagai pembeli)
dan Globalink Investments Pte. Ltd. (sebagai penjual);
dan
(b) Akta Jual Beli Saham No. 227, tanggal 24 September
2026, antara MKB (sebagai pembeli) dan Fortuna
Capital Pte. Ltd. (sebagai penjual);
yang keduanya dibuat di hadapan Jose Dima Satria, S.H.,
M.Kn., Notaris di Kota Administrasi Jakarta Selatan.
PT DGJ memiliki properti rumah sakit yang dikenal dengan
Siloam Hospitals Bali, berlokasi di Jalan Sunset Road No.
818, Kuta, Badung, Bali, Indonesia.
4. PT Sentra Dinamika Perkasa (“PT SDP”)
Perseroan dan MKB telah menyelesaikan pengambilalihan

(a) Akta Pengambilalihan Saham No. 229, tanggal 24
September 2026, antara Perseroan (sebagai pembeli)
dan GOT Pte. Ltd. (sebagai penjual); dan
(b) Akta Jual Beli Saham No. 230, tanggal 24 September
2026, antara MKB (sebagai pembeli) dan Lovage
International Pte. Ltd. (sebagai penjual);
yang keduanya dibuat di hadapan Jose Dima Satria, S.H.,
M.Kn., Notaris di Kota Administrasi Jakarta Selatan.
PT SDP memiliki properti rumah sakit yang dikenal dengan
Siloam Hospitals Lippo Village, berlokasi di Jl. Siloam No. 6,
Lippo Karawaci, Bencongan, Kelapa Dua, Tangerang, Banten
15811, Indonesia.
5. PT Graha Indah Pratama (“PT GIP”)
Perseroan dan MKB telah menyelesaikan pengambilalihan
atas 100% saham dalam PT GIP berdasarkan:
(a) Akta Pengambilalihan Saham No. 220, tanggal 24
September 2026, antara Perseroan (sebagai pembeli)
dan Henley Investments Pte. Ltd. (sebagai penjual); dan
(b) Akta Jual Beli Saham No. 221, tanggal 24 September
2026, antara MKB (sebagai pembeli) dan Primerich
Investments Pte. Ltd. (sebagai penjual);
yang keduanya dibuat di hadapan Jose Dima Satria, S.H.,
M.Kn., Notaris di Kota Administrasi Jakarta Selatan.
PT GIP memiliki properti rumah sakit yang dikenal dengan
Siloam Hospitals Kebon Jeruk, berlokasi di Jl. Raya
Pejuangan Kav. 08, Kebon Jeruk, Jakarta Barat, Indonesia.
Sebagaimana dinyatakan pada akta-akta tersebut di atas, total
nilai transaksi pengambilalihan saham pada 5 (lima)
Perusahaan Sasaran Tahap Pertama tersebut adalah sebesar
Rp3.470.449.534.800,00 (tiga triliun empat ratus tujuh puluh
miliar empat ratus empat puluh sembilan juta lima ratus tiga
puluh empat ribu delapan ratus Rupiah).
We refer to: (i) the Information Disclosure dated 14 August 2026
and the Amendment and/or Addition to Information Disclosure
dated 18 September 2026 (the “Information Disclosure”); and
(ii) the approval of the Proposed Transaction (as defined in the
Information Disclosure) by the Extraordinary General Meeting of
Shareholders of the Company (“EGMS”) held on 22 September
2026.
As disclosed in the Information Disclosure, the Company plans to
undertake the Proposed Transaction, being the acquisition of
shares in 14 (fourteen) companies holding hospital properties
from subsidiaries of First REIT, to be implemented in two stages,

namely: (i) the First Stage Transaction, being the acquisition of
the 8 (eight) First Stage Target Companies; and (ii) the Second
Stage Transaction, being the acquisition of the 6 (six) Second
Stage Target Companies, which will be carried out if the put
options granted by the Company under the Put Option Agreement
are exercised by the relevant option holders.
We hereby inform you that on 24 September 2026, the Company
and MKB completed the acquisition of 100% of the shares in 5
(five) First Stage Target Companies from subsidiaries of First
REIT, as follows:
1. PT Sriwijaya Megah Abadi (“PT SMA”)
The Company and MKB have completed the acquisition of
100% of the shares in PT SMA based on:
(a) Deed of Acquisition of Shares No. 223, dated 24
September 2026, between the Company (as purchaser)
and Sriwijaya Investment I Pte. Ltd. (as seller); and
(b) Deed of Sale and Purchase of Shares No. 224, dated 24
September 2026, between MKB (as purchaser) and
Sriwijaya Investment II Pte. Ltd. (as seller);
both of which were made before Jose Dima Satria, S.H.,
M.Kn., Notary in Kota Administrasi Jakarta Selatan.
PT SMA owns the hospital property known as Siloam
Sriwijaya (Palembang), located at Jl. POM IX, Lorok Pakjo, Ilir
Barat Satu, Palembang, South Sumatra, Indonesia.
2. PT Eka Dasa Parinama (“PT EDP”)
The Company and MKB have completed the acquisition of
100% of the shares in PT EDP based on:
(a) Deed of Acquisition of Shares No. 231, dated 24
September 2026, between the Company (as purchaser)
and Finura Investments Pte. Ltd. (as seller); and
(b) Deed of Sale and Purchase of Shares No. 232, dated 24
September 2026, between MKB (as purchaser) and
Glamis Investments Pte. Ltd. (as seller);
both of which were made before Jose Dima Satria, S.H.,
M.Kn., Notary in Kota Administrasi Jakarta Selatan.
PT EDP owns the hospital property known as Siloam
Hospitals Purwakarta, located at Jl. Raya Cibeuning
Bungursari No. 1, Cibening, Purwakarta, West Java,
Indonesia.

and Globalink Investments Pte. Ltd. (as seller); and
(b) Deed of Sale and Purchase of Shares No. 227, dated 24
September 2026, between MKB (as purchaser) and
Fortuna Capital Pte. Ltd. (as seller);
both of which were made before Jose Dima Satria, S.H.,
M.Kn., Notary in Kota Administrasi Jakarta Selatan.
PT DGJ owns the hospital property known as Siloam
Hospitals Bali, located at Jalan Sunset Road No. 818, Kuta,
Badung, Bali, Indonesia.

The Company and MKB have completed the acquisition of
100% of the shares in PT SDP based on:

(b) Deed of Sale and Purchase of Shares No. 230, dated 24
September 2026, between MKB (as purchaser) and
Lovage International Pte. Ltd. (as seller);
both of which were made before Jose Dima Satria, S.H.,
M.Kn., Notary in Kota Administrasi Jakarta Selatan.
PT SDP owns the hospital property known as Siloam
Hospitals Lippo Village, located at Jl. Siloam No. 6, Lippo
Karawaci, Bencongan, Kelapa Dua, Tangerang, Banten
15811, Indonesia.

September 2026, between the Company (as purchaser)

(b) Deed of Sale and Purchase of Shares No. 221, dated 24
September 2026, between MKB (as purchaser) and
Primerich Investments Pte. Ltd. (as seller);
both of which were made before Jose Dima Satria, S.H.,
M.Kn., Notary in Kota Administrasi Jakarta Selatan.
PT GIP owns the hospital property known as Siloam Hospitals
Kebon Jeruk, located at Jl. Raya Pejuangan Kav. 08, Kebon
Jeruk, West Jakarta, Indonesia.
As stated in the deeds mentioned above, the aggregate
transaction value of the said acquisition of shares in 5 (five) First

Stage Target Companies is Rp3,470,449,534,800.00 (three
trillion four hundred seventy billion four hundred forty-nine million
five hundred thirty-four thousand eight hundred Rupiah).

Following the execution of the aforementioned deeds, ownership
of all shares in the 5 (five) First Stage Target Companies referred

Company and MKB. The partial completion of the First Stage
Transaction in connection with the Proposed Transaction is
expected to have a positive impact on the Company as disclosed
in the Information Disclosure.

In connection with the Proposed Transaction, the Company has
obtained approval from the EGMS held on 22 September 2026.
The Company has also published a summary of the EGMS
minutes on the website of the Indonesia Stock Exchange and the
Company’s website on 22 September 2026.
The Company will continue to make further information disclosures
regarding the progress of the completion of the Proposed
Transaction in accordance with the prevailing laws and regulations.
