We, PT Capitol Nusantara Indonesia Tbk ("Company") hereby would like to submit the Disclosure
of Material Fact or Information as required by
(i) Financial Service Authority ("OJK") Regulation No.31/POJK.04/2015 concerning the
Disclosure of Material Fact or Information by Emission of Public Listed Company ("POJK
31/2015"); and
(ii) Amendment Regulation Number I-E regarding Obligation to Submit Information,
Attachment to the Decree of Board of Directors of PT Bursa Efek Indonesia No. Kep-
00066/BEI/09-2022 dated 1 October 2022 ("Regulation I-E") as follows:

Pembeli : PT Sunly Lautan Mandiri
Description of Information or Objek Jual Beli :
Material Fact. 1 (satu) kapal sebagai berikut:
a) Kapal Tunda (Tug Boat) bernama Karya Abadi 6
dengan harga jual sebesar Rp 6.300.000.000;
Nilai Jual Beli : Rp 6.300.000.000 (ekuivalen
dengan USD 357.244 dengan kurs konversi per
tanggal 15 September 2026 sebesar Rp 17.635 / USD
1).
Nilai Ekuitas Perseroan per tanggal 31 Maret 2026
berdasarkan Laporan Keuangan Interim (in-house)
Perseroan per tanggal 31 Maret 2026 : USD
(34.555.746) (negatif tiga puluh empat juta lima ratus
lima puluh lima ribu tujuh ratus empat puluh enam
Dolar Amerika Serikat).

Vessels, as follows:
a) Motor Vessel (Tug Boat) named Karya Abadi 6 with
a sale price of Rp 6,300,000,000;
Transaction Value : Rp 6,300,000,000
(equivalent into USD 357,244 with the convertion rate
as of September 15th, 2026 amounted to Rp 17,635 /
USD 1).

based on the Company's Interim (in-house) Financial
Report as of March 31st, 2026 : USD (34,555,746)
