Perusahaan Terbuka dengan Memberikan Hak Memesan Efek Terlebih Dahulu sebagaimana diubah
dengan Peraturan Otoritas Jasa Keuangan No. 14/POJK.04/2019, (ii) Surat Keputusan Direksi PT Bursa
Efek Indonesia No. Kep -00 101/BEI/12-2021 tentang Perubahan Peraturan Nomor I -A tentang
Pencatatan Saham dan Efek Bersifat Ekuitas Selain Saham yang Diterbitkan oleh Perusahaan Tercatat
dan (iii) Surat Edaran Direksi PT Bursa Efek Indonesia No. SE -00002/BEI/03 -2020 perihal Tata Cara
Pelaksanaan Program Kepemilikan Saham tertanggal 2 Maret 2020, dengan ini, kami, PT Global Digital
Niaga Tbk (BELI), menyampaikan Keterbukaan Informasi sehubungan dengan rencana pelaksanaan
Program MESOP III Tahap IV dan Program MESOP I V Tahap II dengan rincian sebagai berikut:
Referring to the (i) Financial Services Authority Regulation No. 32/POJK.04/2015 regarding Capital
Increase in Public Companies with Pre -Emptive Rights, as amended by Financial Services Authority
Regulation No. 14/POJK.04/2019, (ii) Indonesia Stock Exchange Board of Directors’ Decree No. Kep -
00 101/BEI/12-2021 regarding the Amendment of Rule Number I -A concerning Listing of Shares and
Equity Other Than Shares Issued by Listed Companies and (iii) Indonesia Stock Exchange Directors’
Circular Letter No. SE -00002/BEI/03 -2020 regarding Procedures on the Implementation of the Share
Ownership Program dated 2 March 2020, hereby, we, PT Glob al Digital Niaga Tbk (BELI), submit an

Total of Exercised Option Rights adalah sebanyak -banyaknya 325.757.001 (tiga ratus dua
puluh lima juta tujuh ratus lima puluh tujuh ribu satu )
saham.
Sama halnya dengan Program MESOP III Tahap I II,
sebagaimana telah disampaikan melalui Surat Perseroan
No. 0 58/GDN -LEG/Corsec/SKL/ XI/2025 tanggal 25
November 2025 perihal Keterbukaan Informasi
Sehubungan dengan Rencana Pelaksanaan Program
Management and Employee Stock Option Plan (MESOP)
III Tahap I II (“Program MESOP II I Tahap I II”) dan Program
MESOP I V Tahap I (“Program MESOP I V Tahap I”) PT
Global Digital Niaga Tbk , hak opsi yang belum
dilaksanakan pada periode ini (dalam hal ini Program
MESOP III Tahap I V) dapat dilaksanakan pada periode
pelaksanaan berikutnya. /

Program MESOP II I Tahap IV / MESOP Program III Phase IV
The total option rights that can be exercised during this
exercise period for MESOP Program III Phase IV at the
maximum is 325,757,001 ( three hundred twenty five
million seven hundred fifty seven thousand one ) shares.
Similar to the MESOP Program III Phase III , as stated in
Company Letter No. 058/GDN -
LEG/Corsec/SKL/XI/2025 dated 25 November 2025
regarding the Information Disclosure on the Exercise
Plan of Management and Employee Stock Option Plan
(MESOP) I II Phase I II (“MESOP Program I II Phase I II”) and
MESOP IV Phase I (“MESOP Program I V Phase I”) of PT
Global Digital Niaga Tbk , any option rights that are not
exercised in this exercise period (in this case MESOP
Program III Phase I V), can be exercised in the following
exercise periods.

1. Periode Pelaksanaan / : 30 hari kalender terhitung sejak tanggal 15 Maret 202 6

Total of Exercised Option Rights adalah sebanyak -banyaknya 1.178.988 .100 (satu miliar
seratus tujuh puluh delapan juta sembilan ratus delapan
puluh delapan ribu seratus ) saham.
Sama halnya dengan Program MESOP I V Tahap I,
sebagaimana telah disampaikan melalui Surat Perseroan
No. 058/GDN -LEG/Corsec/SKL/XI/2025 tanggal 25
November 2025 perihal Keterbukaan Informasi
Sehubungan dengan Rencana Pelaksanaan Program
Management and Employee Stock Option Plan (MESOP)
III Tahap III (“Program MESOP III Tahap III”) dan Program
MESOP IV Tah ap I (“Program MESOP IV Tahap I”) PT
Global Digital Niaga Tbk, hak opsi yang belum
dilaksanakan pada periode ini (dalam hal ini Program
MESOP IV Tahap II) dapat dilaksanakan pada periode
pelaksanaan berikutnya.

The total option rights that can be exercised during this
exercise period for MESOP Program IV Phase I I at the
maximum is 1,178,988 ,100 (one billion one hundred
seventy eight million nine hundred eighty eight
thousand one hundred ) shares.
Similar to the MESOP Program IV Phase I , as stated in
Company Letter No. 058/GDN -
LEG/Corsec/SKL/XI/2025 dated 25 November 2025
regarding the Information Disclosure on the Exercise
Plan of Management and Employee Stock Option Plan
(MESOP) III Phase III (“MESOP Program III Phase III”) and
MESOP I V Phase I (“MESOP Program IV Phase I”) of PT
Global Digital Niaga Tbk, any option rights that are not
exercised in this exercise period (in this case MESOP
Program IV Phase I I) can be exercised in the following
exercise periods.
