Bersama ini kami informasikan bahwa PT Semen Baturaja
(Persero) Tbk (Perseroan) pada tanggal 24 Februari 2026
telah menerima surat pengunduran diri Bapak Inosentius
Samsul dari jabatannya selaku Komisaris Utama Perseroan.
Dampak kejadian, informasi atau fakta Sesuai dengan Pasal 27 POJK No.33/2014 dan Pasal 14 ayat
material tersebut terhadap kegiatan (18) huruf b Anggaran Dasar Perseroan, bahwa pengunduran
operasional, hukum, kondisi keuangan, diri tersebut akan diputuskan dalam Rapat Umum Pemegang
atau kelangsungan usaha Emiten atau Saham Perseroan dalam jangka waktu 90 (sembilan puluh)
Perusahaan Publik hari sejak diterimanya surat pengunduran diri tersebut yang
waktu pelaksanaannya akan kami sampaikan lebih lanjut.

Facts (i) OJK Regulation Number 33/POJK.04/2014 concerning the
Board of Directors and Board of Commissioners of Issuers or
Public Companies (POJK No. 33/2014);
(ii) OJK Regulation Number 31/POJK.04/2015 concerning
Disclosure of Information on Material Facts by Issuers or
Public Companies in conjunction with OJK Regulation Number
45 of 2024 concerning the Development and Strengthening of
Issuers and Public Companies;
(iii) Provisions of Regulation I-E, Attachment to the Decree of
the Board of Directors of PT Bursa Efek Indonesia No. KEP-
0066/BEI/09-2022 dated September 30, 2022, concerning the
Obligation to Submit Information ("Regulation I-E);
(iv) Articles of Association of PT Semen Baturaja (Persero)
Tbk (Articles of Association).
We hereby inform you that PT Semen Baturaja (Persero) Tbk
(Company) on February 24, 2026 has received a letter of
resignation from Mr. Inosentius Samsul from his position as
President Commissioner of the Company.
Impact of event, material information or In accordance with Article 27 of POJK No. 33/2014 and Article
facts towards Issuers or Public 14 paragraph (18) letter b of the Company's Articles of
Company’s operational activities, legal, Association, the resignation will be decided at the Company's
financial condition, or going concern General Meeting of Shareholders within 90 (ninety) days from
the receipt of the letter of resignation, the implementation time
of which we will inform you about further.
