Description of material information or fact baru berdasarkan hukum negara Republik
Indonesia, yang bernama PT Tradisi Baru
Bakeri (“PT TBB”), yang berkedudukan di
Jakarta Selatan.
The Company has established a new
subsidiary under the laws of the Republic of
Indonesia under the name PT Tradisi Baru
Bakeri (“PT TBB”), domiciled in South
Jakarta.
PT TBB didirikan berdasarkan Akta
Pendirian Nomor 04 tertanggal 5 Februari
2026, yang dibuat dihadapan Notaris Mira
Dewi Miriam, SH, Notaris Kota Depok dan
disahkan berdasarkan Surat Keputusan
Menteri Hukum Republik Indonesia Nomor

PT TBB was established pursuant to Deed of
Establishment Number 04 dated February 5,
2026, drawn up before Mira Dewi Miriam,
SH, Notary of Depok City, and duly approved
by virtue of the Decree of the Minister of Law
of the Republic of Indonesia Number AHU-
0014795.AH.01.01.TAHUN 2026 dated 20
February 2026.
PT TBB akan menjalankan kegiatan usaha
antara lain di bidang penyediaan akomodasi
dan penyediaan makan minum dan
perdagangan eceran roti dan kue.
PT TBB shall carry out business activities
such as in the fields of accommodation
services, food and beverage provision, and
the retail trading of bread and cakes.
Modal dasar PT TBB berjumlah
Rp.60.000.000.000,-, terbagi atas 60.000
lembar saham, masing-masing saham
bernilai nominal Rp.1.000.000,-.
The authorised share capital of PT TBB
amounts to Rp60,000,000,000,- divided into
60,000 shares, each having a nominal value
of Rp1,000,000,-.
Dari modal dasar tersebut telah ditempatkan
dan disetor penuh sebesar 25% persen atau
atau sejumlah 15.000 lembar saham dengan
nominal saham seluruhnya bernilai
Rp.15.000,000.000,-.
Of such authorised capital, 25%, being
15,000 shares with an aggregate nominal
value of Rp15,000,000,000,- has been issued
and fully paid up.

Company will have a new legal entity which
the Company’s financial statement will be
consolidated.
This event will not have an impact on the
operational activities, legal, financial
condition, or business continuity of the
Company.
The Company believes that the establishment
is made in accordance with the Company’s
diversification strategy and to ensure that the
Company focuses on the implementation of
sustainability of the business activities of the
Company.
