Uraian Informasi atau Fakta Material Pada tanggal 18 Februari 2026, perusahaan terkendali dari
Perseroan, yaitu PT Energi Batubara Indonesia (EBI) telah
menyelesaikan peningkatan modal dasar dan modal
ditempatkan pada PT Sekti Rahayu Indah (SRI) sebesar Rp
212.520.000.000,- (dua ratus dua belas miliar lima ratus dua
puluh juta Rupiah), sehingga modal dasar dan modal
ditempatkan SRI menjadi Rp 248.220.000.000,- (dua ratus
empat puluh delapan miliar dua ratus dua puluh juta Rupiah)
serta kepemilikan EBI pada SRI menjadi 495.840 (empat ratus
sembilan puluh lima ribu delapan ratus empat puluh) lembar
saham atau setara dengan 99,88% (sembilan puluh sembilan
koma delapan delapan persen).
Transaksi ini merupakan transaksi material berdasarkan
Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha,
karena melebihi 10% (sepuluh persen) total aset Perseroan,
namun demikian dikecualikan dari kewajiban melakukan
prosedur sebagaimana dimaksud dalam Pasal 3 dan Pasal 4
ayat (1) Peraturan Otoritas Jasa Keuangan No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan, karena dilakukan sesama perusahaan
terkendali dari Perseroan.

Description of Material Information or On February 18, 2026, the Company's controlled company,
Facts namely PT Energi Batubara Indonesia (EBI) has completed
the increase in authorized capital and issued capital in PT
Sekti Rahayu Indah (SRI) by Rp 212,520,000,000,- (two
hundred twelve billion five hundred twenty million Rupiah), so
that the authorized capital and issued capital of SRI became
Rp 248,220,000,000,- (two hundred forty-eight billion two
hundred twenty million Rupiah) and EBI's ownership in SRI
became 495,840 (four hundred ninety-five thousand eight
hundred and forty) shares or equivalent to 99.88% (ninety-nine
point eight eight percent).
This transaction is a material transaction based on Financial
Services Authority Regulation No. 17/POJK.04/2020
concerning Material Transactions and Changes in Business
Activities, because it exceeds 10% (ten percent) of the
Company's total assets, however, it is exempt from the
obligation to carry out procedures as referred to in Article 3
and Article 4 paragraph (1) of Financial Services Authority
Regulation No. 42/POJK.04/2020 concerning Affiliated
Transactions and Conflict of Interest Transactions, because it
is carried out between controlled companies of the Company.
