Uraian Informasi atau Fakta Material Pada tanggal 18 Februari 2026, Perseroan dan PT Panca
Megah Utama (PMU) telah menandatangani Perjanjian
Pengikatan Jual Beli Hak Atas Tanah dan Bangunan, dimana
Perseroan bermaksud untuk membeli tanah seluas 6.704 m2
dan gedung pusat perbelanjaan Plaza Gresik dengan luas
15.848 m2, yang berlokasi di Kelurahan Sidomoro, Kecamatan
Kebomas, dengan alas hak Sertifikat Hak Guna Bangunan
(SHGB) sebagai berikut:
a. SHGB Nomor Identifikasi Bidang Tanah
12.09.000036181.0 ex No. 22; dan
b. SHGB Nomor Identifikasi Bidang Tanah
12.09.000036131.0 ex No. 42,
yang dimiliki PMU, dengan harga sebesar Rp134.500.000.000
(seratus tiga puluh empat miliar lima ratus juta Rupiah) di luar
Pajak Pertambahan Nilai (Perjanjian).
Berdasarkan Perjanjian, penyelesaian dari pembelian tanah
dan bangunan tersebut tunduk pada beberapa persyaratan
yang harus dipenuhi pihak yang terkait
Dampak kejadian, informasi atau fakta Penandatangan Perjanjian oleh Perseroan akan memberikan
material tersebut terhadap kegiatan dampak positif terhadap kegiatan usaha yang dijalankan oleh
operasional, hukum, kondisi keuangan, Perseroan serta memberikan nilai tambah bagi pemegang
atau kelangsungan usaha Emiten atau saham Perseroan

Description of Material Information or On 18 February 2026, the Company and PT Panca Megah
Facts Utama (PMU) entered into a Conditional Sale and Purchase
Agreement over Land and Building Rights, pursuant to which
the Company intends to purchase a plot of land with an area of
6,704 m2 and the Plaza Gresik shopping center building with a
total area of 15,848 m2, located in Sidomoro Sub-district,
Kebomas District, with title Right to Build Certificate (SHGB) as
follows:
a. SHGB Land Plot Identification Number
12.09.000036181.0 ex No. 22; and
b. SHGB Land Plot Identification Number
12.09.000036131.0 ex No. 42,
owned by PMU, for a purchase price of IDR 134,500,000,000
(one hundred thirty-four billion five hundred million Rupiah),
excluding Value Added Tax (the Agreement).
Pursuant to the Agreement, the completion of the land and
building purchase is subject to the completion of several
conditions by relevant parties
