Uraian Informasi atau Fakta Material - pada tanggal 12 Februari 2026 telah ditandatangani
suatu termsheet (Non-Binding Agreement) antara pemegang
saham PT Graha Prima Mentari Tbk (GRPM), yaitu PT Prima
Multi Usaha Indonesia Tbk dan Bapak Agus Susanto, dengan
PT Tunas Binatama Lestari, Perusahaan yang bergerak di
bidang perdagangan dan pertambangan batubara yang
merupakan bagian dari kelompok usaha Rimau Group,
sehubungan dengan rencana pengambilalihan saham PT
Graha Prima Mentari Tbk sejumlah total 1.236.000.000 saham
atau kurang lebih 80% (delapan puluh persen), dengan rincian
sebagai berikut:

- Perjanjian tersebut bersifat tidak mengikat (non-
binding) dan masih dalam tahap negosiasi lebih lanjut.
Kepastian terlaksananya transaksi ini tergantung pada banyak
hal, termasuk namun tidak terbatas pada pelaksanaan uji
tuntas (due diligence), pemenuhan persyaratan internal para
pihak, penandatanganan perjanjian definitive serta persetujuan
dari Bursa Efek Indonesia (BEI) dan persetujuan dari Otoritas
Jasa Keuangan (OJK), sesuai dengan ketentuan peraturan
perundang-undangan yang berlaku.

Description of Material Information or - On February 12, 2026, a term sheet (non-binding agreement)
Facts was signed between the shareholders of PT Graha Prima
Mentari Tbk (GRPM), namely PT Prima Multi Usaha Indonesia
Tbk and Mr. Agus Susanto, and PT Tunas Binatama Lestari, a
coal trading and mining company that is part of the Rimau
Group, in connection with the planned acquisition of
1,236,000,000 shares of PT Graha Prima Mentari Tbk, totaling
approximately 80% (eighty percent). The details are as follows:

- This agreement is non-binding and is still under further
negotiation. The certainty of the implementation of this

approval from the Financial Services Authority (OJK), in
accordance with the provisions of applicable laws and
regulations.
