Uraian Informasi atau Fakta Material Pada tanggal 10 Februari 2026, Perseroan telah
diinformasikan oleh pemegang saham utama Perseroan, yakni
PT Trijaya Wisesa Makmur bahwa pada tanggal 9 Februari
2026 telah terjadi perubahan pengendalian pada Perseroan
yang disebabkan oleh dialihkannya 1.499.999.500 saham
Perseroan atau setara dengan 78,74% dari modal ditempatkan
dan disetor Perseroan oleh PT Trijaya Wisesa Makmur
(Penjual) kepada PT Nextier Datamate Center
(Pembeli).Terhitung sejak tanggal 9 Februari 2026, Pembeli
telah efektif menjadi pengendali baru pada Perseroan.
Pembeli merupakan perseroan terbatas yang didirikan
berdasarkan hukum Republik Indonesia yang berdomisili di
Gedung Pacific Century Place Lantai 38,
SCBD Lot 10, Jl. Jenderal Sudirman Kav. 52-53, Jakarta
12190. Pengendali baru bergerak dalam bidang penyediaan
fasilitas pusat data (data center) berbasis informasi teknologi
(IT), termasuk konsultansi manajemen strategis. Pembeli
selaku pengendali baru Perseroan tidak memiliki hubungan
afiliasi dengan Penjual selaku pengendali lama.
Dampak kejadian, informasi atau fakta Sebagaimana disebutkan di atas, maka pengendali Perseroan
material tersebut terhadap kegiatan telah berubah yakni PT Nextier Datamate Center
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Changes of controlling shareholder
Type of Material Information or Facts
Description of Material Information or On February 10, 2026, the Company was informed by its
Facts principal shareholder, PT Trijaya Wisesa Makmur, that on
February 9, 2026 a change of control of the Company has
occurred due to the transfer of 1,499,999,500 shares of the
Company or equivalent to 78.74% of the issued and paid-up
capital of the Company by PT Trijaya Wisesa Makmur (the
Seller) to PT Nextier Datamate Center (the Purchaser).
Starting from 9 February 2026, the Purchaser is effectively
become the new controller of the Company. The Purchaser is
a limited liability company duly established pursuant to the
laws of the Republic of Indonesia, domiciled at Gedung Pacific
Century Place 38th Floor, SCBD Lot 10, Jl. Jenderal Sudirman
Kav. 52-53, Jakarta 12190. The new controller engages in the
information technology (IT) based data center facilities
provider, including strategic management consultation. The
Purchaser as the new controller of the Company is not
affiliated with the Seller as the previous controller
